Re: The Langfang Industrial Project
Dear Mr. Hooter:
Following up on our recent conversation, I have enclosed herewith some brief
materials on my firm, including representative clients and the areas of our practice
and experience, together with a standard retainer contract.
In regard to your interest in acquiring or otherwise investing in Langfang Aeronautics
Factory, I am hereby attaching a brief summary on the present Chinese statutory
requirements for investing in state-owned companies and state-monopolized
industries. You will note that failure to comply fully with these governmental
requirements carries with it significant risks.
In addition to the obvious motivation to avoid any inadvertent governmental
sanctions and penalties, it would be professionally and politically inappropriate to
have any allegation of impropriety concerning noncompliance ever arise.
Consequently, in a case where one is unsure of the governmental requirements for a
particular matter, prudence dictates the exercise of due diligence to determine with
reasonable certainty whether certain investment plan in a state-monopolized
industry is statutory and politically feasible, and that such inquiry be properly
documented.
Furthermore, with regard to our brief discussion concerning technology transfer to
China, it is imperative for you to consult your attorneys in the U.S. regarding any U.S.
restrictions or requirements on such transfer.
We would certainly be interested in providing assistance to you in these and other
matters as your circumstances require.
