1. Each Party undertakes with the other Party that it shall treat as strictly confidential all information received or obtainedby it or its employees, agents or advisers as result of entringg into or performing this Agreement including informa-tion relating to the provisions of this Agreement, the nego-tiations leading up to this Agreement, the subject matter ofthis Agieement or the business or affairs of the other Partyor any member of the other Party's group of companies andthat it shall not at any time hereafter make use of or discloseor divulge to any person any such information and shall useits best endeavors to preventany such information.
2. From and after the date of this Agreement, Party A shall,i and shall cause its affiliates and successors to, use the same efforts to maintain the confidentiality of any ConfidentialInformation as Party A used to maintain the confidentialityof such information prior to the date hereof. Notwithstand-ing the foregoing, Party A and its affiliates and successorsshall, after prior notice to, and consultation with Party B,be permitted to disclose any such Confidential Informationto the extent legally required or necessary for obtaining appropriate regulatory licenses or approvals.
3. All Proprietary Information disclosed by either Party or itsaffiliates to the CJV in accordance with the provisions ofthis Contract and the Technology License Agreement and/or the Trademark License Agrtween an affiliate of Party B and the CJV on or about thedate hereof su'ostantially in the form attached hereto as Ap-pendix X shall be used by the CJV and its personnel solelyfor the CJV's account and purposes. Each Party and any ofits affiliates shall maintain the secrecy of all Proprietary In-formation that may be disclosed or furnished to it by theCJV or the other Party and its affiliates, and neither of theParties or their affiliates shall disclose or reveal any suchProprietary Information to any third party without explicitwritten authorization from the other Party. Any ProprietaryInformation obtained by the CJV or a Party or its affiliatesmay be disc/osed only to the designated employees of theCJV or that Party and its affilifor the implementation of this Contract. The CJV and eachParty and its affiliates shall take all all reasonable precautions(including the conclusion of confidentiality contracts witheach such employee) to prevent such employees from usingand disclosing the Proprietary Information in contravention of this Article 3.
4. "Confidential Information" meanss all documents, softwareand documentation, reports, financial orr other data, re-cords, forms, tools, products, services,. methodologies,present and future research, technical knowledge, market-ing plans, trade secrets, and other r materials obtained byConsultant and Client from each other in the course of per-forming any Services, whether tangible or intangible andwhether or not stored, compiled, or memorized physically,electronically, graphically, in writing, or by any meansnow known or later invented. Confidential Information in-cludes without limitation records and information andConsultant's Information (i) that has been marked as pro-prietary or confidential; (ii) whose confidential nature hasbeen made known by Client cto its character and nature, a reasonable person under likecircumstances would treat as confidential. Notwithstandingthe foregoing, Confidential Information does not includeinformation which (i) is already known to the recipient atthe time of disclosure; (ii) is or becomes publicly knownthrough no wrongful act or failure of the recipient; (iii) isindependently developed by the recipient without benefit ofthe other party's Confidential Information; or (iv) is re-ceived from a third party which is not under and does notthereby breach an n obligation of confidentiality. Each partyagrees to protect the other's Confidential Information at all times and in the same manner as each protects the confiden-tiality of its own proprietary and confidential materials, butin no event with less than areasonable standard of care.Consultant will deliver to Client all Confidential Informa-tion and all copies thereof (an~ all other property obtainedfrom or through Client) when Client requests the same orimmediately upon termination of this Agreement, whichev-er occurs earlier, except for one copy thereof that Consult-. ant may retain for its records. Neither party shall, exceptwith respect to those of its employees with a need to knowunder this Agreement, use or disclose to any person, firm orentity any Confidential Information of the other party with-out such other party's express, prior written permission;provided, however, that notwithstanding the foregoing,Consultant may disclose )se Confidential Information to the ex-tent that it is required to be disclosed pursuant to a statutoryor regulatory provision or court order. The confidentialityrestrictions and obligations impterminate two (2) years after the expiration or terminationof this Agreement.

2.自本協(xié)議之日起及其后,甲方應盡力并應促使其關聯(lián)公司或承繼人盡力對機密信息進行保密,一如其在本協(xié)議之日前為該等機密信息保密。盡管有前述規(guī)定,甲方及其關聯(lián)公司和承繼人經(jīng)事先通知乙方并與乙方協(xié)商后,應允許其僅按照法律要求或為獲得有關管理部門的執(zhí)照或批準而披露必須予以披露的任何該等機密信息
3.任何一方或其關聯(lián)公司根據(jù)本合同及乙方一家關聯(lián)公司與合作經(jīng)營企業(yè)于本合同同日或稍標許可協(xié)議(其格式見附件五)的規(guī)定,向合作經(jīng)營企業(yè)披露的所有專有信息,僅供合作經(jīng)營企業(yè)及其人員用于合作經(jīng)營企業(yè)的自身利益和目的。各方及其關聯(lián)公司應對合作經(jīng)營企業(yè)或另一方及其關聯(lián)公司向其披露或提供的所有專有信息保密;未經(jīng)另一方明示的書面授權,任何一方或其關聯(lián)公司不得向任何第三方披露或透露任何該等專有信息。合作經(jīng)營企業(yè)或■方或其關聯(lián)公司獲得的任何專有信息,只能披露給為執(zhí)行本合同其職責需要其知悉該等信息的合作經(jīng)營企業(yè)或該方及其關聯(lián)公司的指定雇員。合作經(jīng)營企業(yè)和各方及其關聯(lián)公司應采取一切合理的預防措施(包括與每一個該等雇員訂立保密合同),防止該等雇員違反本條規(guī)定而使用或披露專有信息,
4.“機密信息”系指在履行服務期間,顧問和客戶相互間獲得的一切文件、軟件和文獻資料、報告、財務數(shù)據(jù)或其他數(shù)據(jù)、記錄、格式、工具、產(chǎn)品、服務、方法、現(xiàn)在和將來的研究、技術知識、營銷計劃、商業(yè)秘密及其他資料,無論是;否以實際、電子、圖形或書面形式、或以現(xiàn)在已知的或日后發(fā)明的方式存儲、編寫或記錄。機密信息包括但不限于下列記錄和信息及顧問的信息:(i)已被稱為“專有”或“機密”;(ii)其機密性質(zhì)已為客戶或顧問告知;或(iii)由于其特點和性質(zhì),有理性的人在相同情況下乎¨述規(guī)定,但機密信息不包括以下信息:(i)披露之時早巳為收受方所知的信息;(ii)并非因收受方的非法行為或違約而成為公眾所知的信息;(m)收受方并非借助另一方機密信息而獨立開發(fā)的信息;或(iv)從無保密義務因而也不違反保密義務的第三方獲取的信息。各方同意,在任,在任何時候都以保護自身專有資料和機密資料相同的方式保護另一方的機密信息,在任何情況下都以不低于合理的保密標準予以保護。客戶要求時,或本協(xié)議終止時(以兩種情況中先發(fā)生的為準),顧問將向客戶提交所有機密信息及一切副本(和從客戶或通過客戶獲得的一切其他財產(chǎn)),但顧問可以存檔的一份副本除外。未經(jīng)另一方事先明示的書面允許,任何一方均不得使用或向任何人、公司;蛳韺嶓w披露該另一方的任何機密信息,但根據(jù)本協(xié)議需要知曉的本方雇員除外。但盡管有前述規(guī)定,法求披露的機密信息,顧問可予以披露。本條規(guī)定的保密限制和義務,在本協(xié)議期滿或終止二(2)年后終止。
