1. All the appendices to this Agreement shall be an integralpart of this Agreement.  This Agreement and all its appendices shall constitute the entire agreement between the Partieswith respect to the subject matter set forth herein and supe:rsede any and all previous oral and written discussions, nego-tiations, notices, memoranda, documents, agreements,contracts and communications between the Parties relatingto such subject matter.

2. The terms and conditions herein contained, including theAppendices hereto, constitute the entire agreement between'  the parties hereto. This Contract shall supersede all previ-ous communications, eitherer oral or written, between theparties. Amendments modifying or extending the Contractshall be binding upon both parties only if in writing andsigned by a duly authorised officer or representative of each party．

(a)  "modifying or extending"相當(dāng)于 which modify orextend…這個定語從句，(b)“only if in writing and signed by…”是一個省略了主語和系動詞的狀語從句：only if they (amendments) are inwriting and signed by ...

3.  This Agreement, entered into as of the date written above,constitutes the entire agreement between the Parties relating to the subject matter hereof and shall be in addition to andnot in derogation of the provisions of the Supply Agree-ment. No terms or provisions of this Agreement shallll bevaried or modified by any prior or subsequent statement,conduct or act of either of the Parties, except that the Par-ties may amend this Agreement by written instruments re-ferring to and executed in the same mannerr as this Agreement.

(b)“written above”通常指合同一開始就寫明的簽訂日期，因此不能按above的字面意思籠統(tǒng)地譯為“上述”，而應(yīng)該用“文首載明的日期”來表示方為貼切。

4. This Agreement, including any Statement of Work enteredinto pursuant hereto, constitutes the entire agreement of theparties hereto with respect to its subject matter and super-sedes all prior and contemporaneous representations, pro-posals, discussions, and communications, whether oral or in:  writing. In the event of a conflict between the provisions ofthis Agreement and the 'specific provisions set forth in aStatement of Work, the provisions of the Agreement shallcontrol, except to the extent the provisions in a Statementof Work expressly provide otherwise.

5. This Agreement constitutes the entire agreement betweenthe parties with respect to its subject matter (no party having relied on any representation or warranty made 'by any other party which is not contained in this Agreement) and no variation of this Agreement shall be effective unless made in writing and signed by all of the parties.

"pursuant hereto" = pursuant to this Agreement(根據(jù)本協(xié)議，。pursuant to是“正式”用語，相當(dāng)于in accordance wit\h(a law,  legal document,  etc.)

6.  Amendments to this is Contract may be made only by a writteninstrument signed by a duly authorised representative ofeach of the Parties and, unless prior approval from the Examination and Approval Authority/the appropriate govern-ment department is statutorily required, such amendmentsshall become effective upon the signing by the duly authorised representatives of both Parties.

(a)“in the event of”是“正式”用語，相當(dāng)于if somethinghappens（如果……發(fā)生；萬一)

(b)“control”在這里的意思，與較之更為常見的prevail相同，表示“以…為準(zhǔn)”
