The service contract (hereinafter "Contract”) is entered into by Consigner and           . The Consigner agrees to buy and     agrees to sell the services specified below according to the following terms and conditions:

本 服 務(wù) 合 同 ( 以 下 簡(jiǎn) 稱“ 合 同 ”) 茲 由 服務(wù) 雙 方 簽 訂。按 照 下 述 條 款 和 條 件， 被 服 務(wù) 方 同 意 簽 訂 服 務(wù)、  同 意 提供 以 下 服 務(wù)：

3.      Service term 服務(wù)條款

 

3.12、Consignee responsibility 服務(wù)方責(zé)任

（1）Service person should obey consigner’s related regulation.服務(wù)人員應(yīng)遵守甲方的各項(xiàng)規(guī)章制度。

（2）Consignee should equip with professional tools and measurement meter服務(wù)方需自行配備工作所需的各種專業(yè)工具及設(shè)備。

（3）The spare parts used for repair should have the same quality of original components 乙方在維修過程中更換的維修零配件必須與原配件同級(jí)同質(zhì)

（4）When dealing with big repair project, consignee should provide service engineering contents and quotation to consigner 當(dāng)需要完成合同之外所需的較大維修項(xiàng)目時(shí)，乙方應(yīng)及時(shí)將相關(guān)工程內(nèi)容和報(bào)價(jià)提供給甲方。

6.      Terms of Payment for Services: Payment to CPPC shall be done without any deduction.

  服 務(wù) 支 付 條 款： 對(duì) CPPC 的 付 款 不 應(yīng) 有 任 何 折 扣。          

       After this contract is signed, Consigner will pay 100% of total contract price to CPPC according to the invoice issued by CPPC within 7 days.       

       該合同簽定后，被服務(wù)方應(yīng)在7個(gè)工作日內(nèi)憑CPPC 開具的全額正式發(fā)票支付100％合同款項(xiàng)。

       All payments to CPPC shall be effected in RMB by telegraphic transfer to following account.

If Buyer does not effect the agreed payments as scheduled, Seller shall be entitled to charge interest to Buyer at the rate of 2% of the due amount per month，or CPPC will keep the serviced good until Consigner finish payment completely.

 如 果 被服務(wù)方 不 按 規(guī) 定 的 時(shí) 間 支 付 議 定 的 款 項(xiàng)，CPPC 有 權(quán) 向被服務(wù)方收 取 月 利率為 到 期 金 額 2% 的 利 ,或 暫 時(shí) 保 留 已 完 成 服 務(wù) 的 貨 物 直至 被 服 務(wù) 方付清欠款。   

 

7.      Governing language語 言：

This Contract is made out in English and Chinese. Both versions are equally authentic.

In event of conflicts or   uncertainty of meanings the Chinese version shall prevail.   

本 合 同 用 英 文 和 中 文 寫 成。 兩 種 文 本 具 有 同 等 效 力。 當(dāng) 含 義 沖 突 或 不 明 確 時(shí)，

將 以 中 文 文 本 為 準(zhǔn)。

 

8.       Others其他

(1)     All disputes arising out of or in connection with this Contract, including any question regarding its existence, validity or termination, shall be finally settled by the China International Economic and Trade Arbitration Commission (CIETAC) by three arbitrators in accordance with the Rules of CIETAC. The seat of arbitration shall be Shanghai. The procedural law of this place shall apply where the Rules are silent. The arbitral award shall be final and binding upon both parties hereto. The language to be used in the arbitration proceeding shall be Chinese.

因 本 合 同 產(chǎn) 生 的 或 與 其 有 關(guān) 的 任 何 爭(zhēng) 議， 包 括 關(guān) 于 合 同 存 在、 有 效 和 解 除 的 任 何 問 題， 都 應(yīng) 經(jīng) 中 國(guó) 國(guó) 際 經(jīng) 濟(jì) 貿(mào) 易 仲 裁 委 員 會(huì)( C I E T A C ) 的 三 名 仲 裁 員 根 據(jù)C I E T A C 的規(guī) 則 仲 裁 最 終 解 決。  仲 裁 地 點(diǎn) 在 上 海 。 仲 裁 規(guī) 則 未 規(guī) 定 處 適 用 當(dāng) 地 的 程 序 法。 仲 裁 結(jié) 果 是 終 局 性 的 并 對(duì) 雙 方 具 有 約 束 力。 仲 裁 過 程 使 用 的 語 言 應(yīng) 為 中 文。

 

(2)     If individual provisions of this Contract are or become ineffective, this shall not affect other provisions. The Parties shall amicably attempt to agree on new provisions of equal economic effect to the ineffective provisions they replace.

本 合 同 的 個(gè) 別 條 款 無 效 或 失 效， 將 不 影 響 其 他 條 款。 各 方 應(yīng) 友 好 協(xié) 作 達(dá) 成 新 的 條 款， 使 其 具 有 被 取 代 條 款 相 應(yīng) 的 經(jīng) 濟(jì) 效 益。

 

 

(3)  Any amendments to this Contract are only valid if agreed upon in writing.

  對(duì) 本 合 同 的 任 何 修 改 只 有 在 雙 方 書 面 同 意 后 才 可 生 效。

 

9.       Applicable Law適用法律

     The law of the PRC shall apply to this Contract

     中國(guó)的法律應(yīng)適用于本合同。

IN WITNESS WHEREOF, the parties have caused this Contract to be executed in two originals by their duly authorized representatives on the dates set forth below, with each party retaining one fully executed original.

茲 證 明， 合 同 雙 方 已 由 其 正 式 授 權(quán) 代 表 在 下 述 日 期 簽 署 本 合 同。 雙 方 各 執(zhí) 一 份 已 全 部 簽 署 的 合 同 正 本。
