PRICE INCREASE

7. Seller may increase any price hereunder on the first day of any calendar quarter-yearly period by delivering or mailing written notice to Buyer at least fifteen （15） days prior to such day. Buyer, however, shall have the right to cancel the undelivered portion of the material to which such increase in price applies by delivering or mailing written notice to Seller prior to the date when such increase is to become effective.

賣方提價可在每個季度的第一天進行，但至少應提前十五（15）天以書面提交或郵寄通知買方。買方則有權(quán)在漲價生效日之前向賣方提交或郵寄通知，取消漲價部分的訂貨。

TAXES

8. In addition to the purchase price, Buyer shall pay Seller the amount of all government taxes, excises and/or other charges （except taxes on or measured by net income） that Seller may be required to pay with respect to the production, sale or transportation of any material delivered hereunder, except where the law otherwise provided.

除買價外，買方還得支付賣方因生產(chǎn)、銷售或運輸本合同有關(guān)商品而規(guī)定繳納的所有的政府稅收、營業(yè)稅和（或）其他一切收費（純收入所得稅除外），法律另有規(guī)定的除外。

LOWER COMPETITIVE PRICE

低價競爭

9. If Buyer furnishes proof to Seller that Buyer can purchase from a manufacturer in any contract year any of the aforesaid materials produced within the United States, of the same quality, upon similar terms and conditions, in approximately the same quantity as the then undelivered quantity hereunder during such contract year, and at a lower price than is then in effect under this Agreement, then if Seller shall not reduce the price hereunder to such a lower price  for  the  aforesaid quantity, Buyer may purchases such quantity from the other manufacturer, whereupon Buyer's commitment under this Agreement shall be reduced by the quantity so purchased.

如買方向賣方證實，買方可在合同年度內(nèi)從二制造商處按類似條件規(guī)定購得在美國生產(chǎn)的上述商品，且質(zhì)量一樣，數(shù)量等同本合同年度尚未交貨數(shù)量，但價格低于本合同之定價，如賣方拒絕就上述數(shù)量商品按此價格進行降價，買方可向其他制造商購買該數(shù)量商品，并減少就該合同所承擔的購貨義務(wù)。

SHIPMENT

10. Unless otherwise provided for herein, Buyer shall place order for, and shipments shall be made in, approximately equal monthly quantities, or if any material is insufficient in quantity to permit monthly shipment, then in quantities approximately evenly spaced throughout each contract year. If Buyer fails to so order any quantity provided for under this Agreement, Seller shall not be obliged subsequently to deliver such unordered quantity.

如無另行規(guī)定，買方每月訂貨量及每月裝船發(fā)貨量應大致相同，如因缺貨而影響每月裝運，則應依量大致按合同年平均進行裝運。如買方不按本合同之規(guī)定訂貨，賣方將無義務(wù)提供未定購貨物。

PAYMENT

11. Payment shall be made on demand, without discount. Seller reserves the right, among other remedies, either to terminate this Agreement or to suspend further deliveries upon failure of Buyer to make any payment as herein provided.

支付以取貨即付的方式，不得折扣。如買方不按本合同之規(guī)定支付貸款，除其他補救之外，賣方有權(quán)中止合同或停止發(fā)貨。

CLAIMS

索賠

12. Buyer's receipt of any material delivered hereunder shall be an unqualified acceptance of, and a waiver by Buyer of any and all claims with respect to, such material Unless Buyer gives Seller notice of claim within fifteen （15） days after such receipt. Buyer assumes all risk and liability for the results obtained by the use of any material delivered hereunder in manufacturing processes of Buyer or in combination with other substances. No claim of any kind, whether as to material delivered of for non-delivery of material, and whether or not based on negligence, shall be greater in amount than the purchase price of the material in respect of which such claim is made. In no event shall either party be liable for special, indirect or consequential damages, whether or not caused or resulting from the negligence of such party.

買方收到按本合同所發(fā)商品后十五（15）天內(nèi)不向賣方提交索賠通知，則視為無保留接收該商品，且放棄一切有關(guān)權(quán)利要求。買方承擔在生產(chǎn)過程中使用按本合同所提供之商品或?qū)⑵渑c其他商品混合而產(chǎn)生的一切風險和責任。任何索賠，無論就所提供之商品或就不提供商品，因過失或不因過失，數(shù)額均不得超過索賠標的物的買價。任何一方均不對特殊，間接或繼后的損害負責，不論其是否是因一方當事人過失而引起或產(chǎn)生。

FORCE MAJEURE

不可抗力

13. Neither party shall be liable for its failure to perform hereunder due to any contingency beyond its reasonable control, including acts of God, fires, floods, wars, sabotage, accidents, labor disputes or shortages, governmental laws, ordinances, rules and regulations, whether valid or invalid （including, but not limited to, priorities, requisitions, allocations, and price adjustment restrictions）, inability to obtain material, equipment or transportation, and any other similar or different contingency. The party whose performance is prevented by any such contingency shall have the right to omit during the period of such contingency all or any portion of the quantity deliverable during such period, whether upon the total quantity deliverable under this Agreement shall be reduced by the quantity so omitted. If, due to any such occurrence, Seller is unable to supply the total demands for any material specified in this Agreement, Seller shall have the right to allocate its available supply among  its customers and its departments and divisions in a fair and equitable manner. In no event shall Seller be obliged to purchase material from others in order to enable to deliver material to Buyer hereunder.

因不可抗力事故（包括不可抗損失，火災、洪水、戰(zhàn)爭、破壞，意外事件、勞資糾紛或勞力缺乏）、政府法律、法令、規(guī)則和條例[不論是否合法，包括（但不排除其他）優(yōu)先權(quán)、征用、分配及價格調(diào)整限制等]、物資設(shè)備及運輸短缺、以及其他類似或不同意外事故，雙方當事人均可免去違約責任。遇此事故的當事人有權(quán)免去全部或部分在該事故期內(nèi)本應收、發(fā)的貨物，免去之數(shù)額應從合同總額中扣除。由于上述事故使得賣方無法提供本合同規(guī)定數(shù)額之某種商品，賣方有權(quán)公平合理地在其顧客、部門和分公司間就可能提供之商品進行分配。在任何情況均不得迫使賣方為滿足買方的供貨而向他人購買商品。

MISCELLANEOUS

14. The validity, interpretation and performance of this Agreement with respect to any material delivered hereunder shall be governed by the law of the State in which such material was manufactured. This Agreement contains all of the representations and agreements between the parties hereto. Seller warrants that material delivered hereunder meets Seller's standard specification for the material or such other specifications as have been expressly made a part of this Agreement and that such material is adequately contained, packaged and labeled and conforms to the promises and affirmations of fact made on the container and label. THE FOREGOING WARRANTIES ARE EXCLUSIVE,  AND ARE IN LIEU OF ALL OTHER WARRANTIES （WHETHER WRITTEN, ORAL OR IMPLIED） INCLUDING WARRANTY OF MERCHANTABILITY IN OTHER RESPECTS THAN EXPRESSLY SET FORTH ABOVE AND WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE. This Agreement shall be binding upon and ensure to the benefit of the respective successors and assignees of each of the parties hereto, but any assignment thereof by either party without the prior written consent of the other party shall be void. No modification of this Agreement or waiver of the terms or conditions thereof shall be binding upon Seller unless approved in writing by an authorized representative, or Shall be effected by the acknowledgment or acceptance of purchase order forms containing other or different terms or conditions whether or not signed by authorized representative of Seller.

本合同的效力，解釋和履行以及有關(guān)產(chǎn)品的提供等均應遵守產(chǎn)品生產(chǎn)地州的法律規(guī)定。本合同經(jīng)當事雙方充分討論同意締結(jié)。賣方保證所提供之商品符合商品規(guī)格標準規(guī)定及本合同中有關(guān)規(guī)格的其他明文規(guī)定，保證合理包裝及標記商品，遵守有關(guān)集裝箱和標記的承諾和保證。以上保證具有排他性，將替代其他一切保證（不論是書面、口頭或默示），包括以上明文規(guī)定之外的購銷保證及特殊供應保證。本合同對雙方當事人的繼承人和受讓人均有效力，并保證其各自的利益，但預先未征得對方當事人書面同意的轉(zhuǎn)讓無效。未經(jīng)賣方委托人書面認可，任何合同的修改或其條款規(guī)定的解除都將無效，此種修改或解除也不得因賣方認可或接收含有其他條款規(guī)定的購貨單而生效，不論此貨單是否經(jīng)賣方委托人簽字。
