Force Majeure and Notice不可抗力、通知
1.“不可抗力”指一方不能控制的、導(dǎo)致該履行其在本合回項下義務(wù)的事件。不可抗力事件包括但不限于政府或公共機關(guān)的禁令或行為、動亂、戰(zhàn)爭、、敵對行動、民眾騷亂、罷工、其他勞動糾紛和停工、交通或其他事業(yè)的停頓或中斷、流行病、火災(zāi)、水災(zāi)、地震、風(fēng)暴、海潮或其他自然災(zāi)害。
一方因遭受不可抗力而不能全部或部分履行其在本合同項下的任何義務(wù),可以通知另一方不可抗力的存在,條件是遭受方應(yīng)在不可抗力發(fā)生和終止后十五(15)日內(nèi),分別用掛號信向另一方發(fā)出該不可抗力的起始和終止證明或公開發(fā)布的消息,證明事實真相和所提供的材料的準(zhǔn)確性。聲稱不可抗力的一方有舉證責(zé)任,證明不可抗力與未履行本合同規(guī)定的該方義務(wù)有直接關(guān)系。
Force majeure means an event beyond the control of a Party, as a result of which the Party is unable to perform its obligations under this Contract. An event of Force Majeure includes, but is not limited to, prohibition or acts by government or public agency, riot, war, hostility, public disturbance, strikes, other labor disputes and work stoppages, failure or interruption of transportation or other utilities, epidemic, fire, flood, earthquake, storm, tidal wave or otheracts of nature
Force majeure preventing a party from performing any of its obligations under this Contract, in whole or in part, may be asserted against the other party only if the prevented party gives notice by registered mail of the inception and cessation of the force majeure within fifteen (15) days in each case enclosing a confirmation by the proper authorities or published information attesting the reality of the facts and the accuracy of the data supplied. A party claiming force majeure has the 'ourden to prove the direct relationship between the force majeure and the nonon-performance of its obligations under this Contract.
2.如果任何一方因不可抗力事件,如地震、臺風(fēng)、水災(zāi)、火災(zāi)、戰(zhàn)爭、其發(fā)生和后果不可預(yù)防和不可避免的其他意外事件的直接影響,而不能履行或延遲履行本協(xié)議,受影響的一方應(yīng)立即通知另一方,并在此后十五(15)日內(nèi)提供有關(guān)不可抗力事件的詳情和足夠的證明材料,解釋其不能履行或延遲履行本協(xié)議的全部或部分條款的理由。不可抗力事件發(fā)生地的商會或其他有關(guān)部門出具的證明,應(yīng)足以證明不可抗力事件的存在及其延續(xù)的時間。如果不可抗力事件持續(xù)時間超過六(6)個月,雙方應(yīng)通過協(xié)商決定變更協(xié)議以反映不可抗力事件對履行本合同的影響,抑或終止本協(xié)議。
