WHEREAS, The classifications and tariffs under which this agreement is made required that, for the purpose of applying the lawful rate of freight, the shipper must declare the shipment to be "Ordinary Live Stock," specifying the kind or kinds of animals, or if not "Ordinary Live Stock" he must declare the kind and value of each animal, space for such declaration being provided below:

NOW, THEREFORE, THIS AGREEMENT WITNESSETH, That the carrier has received from the shipper, subject to the classifications and tariffs in effect on the date of issue of this agreement, the live stock described below, in apparent good order, except as noted, consigned and destined as indicated below, which the carrier agree to carry to its usual place of delivery at said destination, if on its road or on its own water line, otherwise to deliver to another carrier on the route to said destination. It is mutually agreed, as to each carrier of all or any of said live stock over all or any portion of said route to destination, and as to each party at any time interested in all or any of said live stock, that every service to be performed and every liability incurred in connection with said shipment shall be subject to all the conditions, whether printed or written, herein contained, including the conditions on the back hereof, and which are agreed to by the shipper and accepted for himself and his assigns.
因此,本合同規(guī)定,根據(jù)本合同締結(jié)之日有效的分類規(guī)則和費率規(guī)定,承運人已經(jīng)從發(fā)貨人處收到下列所述牲畜,外觀狀況良好(專門說明的除外),照以下規(guī)定目的地承運,承運人同意如按自己的公路或水路路線,則將牲畜運抵其規(guī)定目的地的通常交貨地,否則則在途中轉(zhuǎn)交給另一個承運人運抵上述目的地。雙方同意,就全部或部分牲畜的全程或半程承運而言,就任何時候與此牲畜有關(guān)的任何當事人而言,凡與裝運有關(guān)的一切服務和所產(chǎn)生的一切責任均必須受制于本合同條款規(guī)定,不論其是書寫的或是印刷的,包括合同背面所載的條款,這些條款為發(fā)貨人同意并為他和他的受讓人接受。

Ordinary live stock means all cattle, swine, sheep, goats, horses, and mules, except such as are chiefly valuable for breeding, racing, show purposes, or other special uses. On shipments of ordinary live stock no declaration of value shall be made by the shipper, nor shall any values be entered on this bill of lading. I (We) declare the shipment covered by this bill of lading to be ordinary live stock.

On shipments of live stock chiefly valuable for breeding, racing, show purposes, or other special uses, different rates of freight are in effect dependent on the valuation placed thereon by the shipper; which valuation may be the basic value as stated in the classification, at which the lowest freight rate applies, or it may be any higher valuation up to actual value, in which event the freight rate will be higher by the amount prescribed in the tariffs or classifications. Such declared or agreed values shall be entered in the column provided therefor in this bill of lading, and in no event shall the carrier be liable for any amount in excess of such valuation.
裝運因育種、賽跑、表演或其他特殊用途而具有重大價值的牲畜時,其運費根據(jù)發(fā)貨人對牲畜的不同估價而定;該估價可為分類規(guī)則中所列的基本價,適用最低的運費率,或為按照實際價格所作的一個較高的估價,適用的運費率高于分類規(guī)則或費率表中的數(shù)額。此種申報或認可的價值必須在本提單專門的欄目上注明,承運人的責任不得超過此種估價的數(shù)額。

Note: —— The shipper shall execute one of the above declarations. Upon refusal of a shipper of other than ordinary live stock to declare the values of said stock for entry in this bill of lading the shipment will not be accepted for transportation under this contract. In the event the shipment consists of both ordinary live stock and other than ordinary live stock, both of such declarations shall executed, but values shall be declared and entered on only the other than ordinary live stock.

CONTRACT TERMS AND CONDITIONS

Sec. 1. (a) Except in the case of its negligence proximately contributing thereto, no carrier or party in possession of all or any of the live stock herein described shall be liable for any loss thereof or damage thereto or delay caused by the act of God, the public enemy, quarantine, the authority of law, the inherent vice, Weakness, or natural propensity of the animal, or the act or default of the shipper or owner, or the agent of either, or by riots, strikes, stoppage of labor or threatened violence.
1.1 根據(jù)本合同占有任何牲畜的任何承運人或當事人不應對因天災、公敵、檢疫、法律權(quán)力、牲畜自身的缺陷、體弱、或自然習性,或因發(fā)貨人或貨主或他們的代理人的作為或不作為,或因暴亂、罷工、停工或滅絕性暴力行為而導致的任何牲畜的滅失或損失負責,因承運人自身的過失而導致的除外。
(b) Unless caused by the negligence of the carrier or its employees, no carrier shall be liable for or on account of any injury or death sustained by said live stock occasioned by any of the following causes: Overloading, crowding one upon another, escaping from cars, pens, or vessels, kicking or goring or otherwise injuring themselves or each other, suffocation, fright, or fire caused by the shipper or the shipper's agent, heat or cold, changes in weather or delay caused by stress of weather or damage to or obstruction of track or other causes beyond the carrier's control.
1.2 除因承運人或其雇員的過失所致的之外,任何承運人均不應對因下列原因而造成的牲畜傷亡負責:超載,相互擠壓,從車皮、圈欄或船只逃跑,蹄傷或抵傷或其他自己或相互的傷害、窒息、驚恐,或因發(fā)貨人或其代理人所導致的火災,酷熱或冷凍,天氣變化或因天氣惡劣所導致的延誤或路軌破壞或堵塞或其他為承運人無法控制的原因。
(c) In case of quarantine, the live stock may be discharged at risk and expense of owners into quarantine depot or elsewhere, as required by quarantine regulations or authorities, or for the carrier's dispatch, or at nearest available point in carroer's
carrxer's judgement, and in any such case carrxer s responsibility shall cease when the property is so discharged, or the property may be returned by carriers at owner's expense to shipping point, earning freight both ways. Quarantine expenses of whatever nature or kind upon or in respect to property shall be borne by the owners of the property or be a lien thereon. In case a shipment is stopped in transit by quarantine, the carrier shall immediately give notice of such fact to the shipper or consignee. Except in the case of its negligence proximately contributing thereto, no carrier shall be liable for loss or damage occasioned by quarantine or disinfection or other acts required or done under quarantine regulations or authorities, nor for detention, loss, or damage of any kind occasioned by quarantine laws or in the enforcement thereof; and the shipper shall hold the carrier harmless for any expense it may incur or damages it may be required to pay by reason thereof.

Sec. 2. (a) No carrier is bound to transport said property by any particular train or vessel, or in time for any particular market or otherwise than with reasonable dispatch. Every carrier shall have the right in case of physical necessity to forward said property by any carrier or route between the point of shipment and the point of destination.
2.1 除合理運送上述貨物外,承運人無使用專車專船,或?qū)iT為個別銷售市場或為其他原因而加快運送的義務。如確有必要,承運人有權(quán)使用任何運輸工具或采用裝運地和目的地間的任何路線運送上述貨物。
(b) In all cases not prohibited by law, where a lower value than actual value has been presented in written by the shipper or has been agreed upon in writing as the released value of the property as determined by the classification or tariffs upon which the rate is based, such lower value plus freight charges if paid shall be the maximum amount to be recovered, whether or not such loss or damage occurs from negligence.
2.2 在不為法律禁止的情況下,如發(fā)貨人書面陳述的價值低于實際價值,或此低于實際價值之價值已經(jīng)按確認的分類規(guī)則或費率規(guī)定被書面認可作為貨物的放行價值,該價值加運費(如果已經(jīng)支付)應當視為最高賠償額,不管滅失或損失是否是因過失產(chǎn)生。
(c) As a condition precedent to recovery, claims must be filed in writing with the receiving or delivering carrier, or carrier issuing this bill of lading, or carrier on whose line the loss, damage, injury or delay occurred, within nine months after delivery of the property (or, in case of export traffic, within nine months after delivery at port of export) or, in case of failure to make delivery, then within nine months after a reasonable time for delivery has elapsed; and suits shall be instituted against any carrier only within two years and one day from the day when notice in writing is given by the carrier to the claimant that the carrier has disallowed the claim or any part or parts thereof specified in the notice. Where claims are not filed or suits are not instituted thereon in accordance with the foregoing provisions, no carrier hereunder shall be liable, and such claims will not be paid.
2.3 作為賠償?shù)那疤釛l件,索賠請求必須作成書面,于交貨后的9個月內(nèi)(或,如為出口運輸,在出口港交貨后的9個月內(nèi))或,如果未按時交貨,應在一合理時間之后9個月內(nèi),呈交收貨或交貨的承運人,或簽發(fā)本提單的承運人,或在其線路上發(fā)生了滅失、損失、傷害或延誤的承運人;在承運人書面通知索賠人,說明承運人不同意賠付或任何部分賠付之日后的兩年零一天內(nèi)可以對承運人提起訴訟,如不按以上規(guī)定要求索賠或提起訴訟,承運人將不負任何責任,也不作任何賠償。
Sec. 3. The owner or consignee shall pay the freight and average, if any, and all other lawful charges accruing on said property; but, except in those instances where it may lawfully be authorized to do so, no carrier by railroad shall deliver or relinquish possession at destination of the property covered by this bill of lading until all tariff rates and charges thereon have been paid. The consignor shall be liable for the freight and all other charges, except that if the consignor stipulates, by signature, in the space provided for the purpose on the face of this bill of lading that the carrier shall not make delivery without requiring payment of such charges and the carrier, contrary to such stipulation, shall make delivery without requiring such payment, the consignor (except as hereinafter provided) shall not be liable for such charges. Provided, that, where the carrier has been instructed by the shipper or consignor to deliver said property to a consignee other than the shipper or consignor, such consignee shall not be legally liable for transportation charges in respect of the transportation of said property (beyond those billed against him at the time of delivery for which he is otherwise liable) which may be found to be due after the property has been delivered to him, if the consignee (a) is an agent only and has no beneficial title in said property, and (b) prior to delivery of said property has notified the delivering carrier in writing of the fact of such agency and absence of beneficial title, and, in the case of a shipment re-consigned or diverted to a point other than that specified in the original bill of lading, has also notified the delivering carrier in writing of the name and address of the beneficial owner of said property; and, in such cases the shipper or consignor, or, in the case of a shipment so re-consigned or diverted, the beneficial owner, shall be liable for such additional charges. If the consignee has given to the carrier erroneous information as to who the beneficial owner is, such consignee shall himself be liable for such additional charges. On shipment re-consigned or diverted by an agent who has furnished the carrier in the re-consignment or diversion order with a'notice of agency and the proper name and address of the beneficial owner, and where such shipments are refused or abandoned at ultimate destination, the said beneficial owner shall be liable for all legally applicable charges in connection herewith. If the re-consignor or diverter has given to the carrier erroneous information as to who the beneficial owner is, such re-consignor or diverter shall himself be liable for all such charges.

If a shipper or consignor of a shipment of property (other than a prepaid shipment) is also the consignee named in the bill of lading and, prior to the time of delivery, notifies, in writing, a delivering carrier by railroad (a) to deliver such property at destination to another party, (b) that such party is the beneficial owner of such property, and (c) that delivery is to be made to such party only upon payment of all transportation charges in respect of the transportation of such property, and delivery is made by the carrier to such party without such payment, such shipper or consignor shall not be liable (as shipper, consignee, or otherwise) for such transportation charges but the party to whom delivery is so made shall in any event be liable for transportation charges billed against the property at the time of such delivery, and also for any additional charges which may be found to be due after delivery of the property, except that if such party prior to such delivery has notified in writing the delivering carrier that he is not the beneficial owner of the property, and has given in writing to such delivering carrier the name and address of such beneficial owner, such party shall not be liable for any additional charges which may be found to be due after delivery of the property; but if the party to whom delivery is made has given to the carrier erroneous information as to beneficial owner, such party shall nevertheless be liable for such additional charges. If the shipper or consignor has given to the delivering carrier erroneous information as to who the beneficial owner is, such shipper or consignor shall himself be liable for such transportation charges, notwithstanding the foregoing provisions of this paragraph and irrespective of any provisions to the contrary in the bill of lading or in the contract of transportation under which the shipment was made. The term "delivering carrier" means the line-haul carrier making ultimate delivery.
如果貨物的發(fā)貨人或托運人(預付發(fā)運除外)同時也是提單上的指名的收貨人,且在交貨之前書面通知作為交貨方的鐵路承運人,說明(1)在目的地將貨物交給其他當事人,(2)該當事人是貨物的受益權(quán)所有人,且(3)在貨物有關(guān)運費全部繳清后方能將其交給該當事人,而承運人未收運費卻將貨物發(fā)放給該當事人,此時該發(fā)貨人或托運人(作為發(fā)貨人、收貨人或其他身份)不對運費負責,而提貨的此當事人卻應當對在提貨時應收的運費,以及提貨后發(fā)現(xiàn)的應收的任何額外費用負責,但如該當事人在提貨之前說明通知了交貨的承運人,說他不是貨物的受益權(quán)所有人,且書面將受益權(quán)所有人的姓名和地址給了承運人,該當事人將不對交貨后可能發(fā)生的任何額外費用負責;但如果該提貨的當事人所給作為交貨方的承運人的有關(guān)受益權(quán)所有人的信息有誤,該當事人仍應對額外費用負責。如果發(fā)貨人或托運人給交貨的承運人的有關(guān)受益權(quán)所有人的信息發(fā)生錯誤,該發(fā)貨人或托運人應自己承擔當運費,不管本款以上如何規(guī)定,也不管此提單或該貨物運輸合同中是否有任何相悖的規(guī)定。術(shù)語“交貨方的承運人”指最后交貨的長途運輸承運人。
Nothing herein shall limit the right of the carrier to require at time of shipment the prepayment or guarantee of the charges. If upon inspection it is ascertained that the articles shipped are not those described in this bill of lading, the freight charges must be paid upon the articles actually shipped.
本提單的任何規(guī)定不得限制承運人在裝運時提出預付費用或費用擔保的權(quán)利。如果經(jīng)過檢查,確認運送的物品不是提單上所列的物品,運費必須按事實運送的物品支付。
Where delivery is made by a common carrier by water the foregoing provisions of this section shall apply, except as may be inconsistent with Part Ⅲ of the Commerce Act.
如果交貨人為水運公共承運人,適用本條以上規(guī)定,與《商法》第3篇相悖的除外。
Sec. 4. (a) The shipper at his owrI risk and expense shall load and unload the live stock into and out of cars, except in those instances where this duty is made obligatory upon the carrier by statute or is.assumed by a lawful tariff provision. In case any person shall accompany the live stock in charge of the same, he shall take care of, feed and water the live stock while being transported, whether delayed in transit or otherwise, and whenever such person shall open or close any door or opening in the car or cars, or the pens or compartments in the vessel, he shall see that the same are so closed and fastened as to prevent the escape therefrom of any of the live stock.
4.1 除非法律或法定稅則規(guī)定必須由承運人承擔外,發(fā)貨人應承擔牲畜裝卸的費用及風險。如牲畜有人押運,押運員必須在運輸途中照管牲畜,并負責牲畜的喂養(yǎng)與飲水,不管途中是否有延誤,押運人員在開關(guān)車門或出口、或船舶上圈室的門或出口后,他必須保證將其關(guān)牢和固定,以防止牲畜脫逃。
(b) When bedding or appliances of a character not generally in use in the transportation of live stock are required, they shall be furnished by the shipper at his own expense and he shall separate different stock when loaded in the same car by adequately strong partitions and such stock shall be at the risk of the shipper as to any damage resulting from the insufficiency or inadequacy of any such bedding, appliance, or partition.
4.2 如在運輸牲畜過程中需要特殊的墊草或裝置,應由發(fā)貨人自費提供,如相同車皮裝運不同牲畜,發(fā)貨人應用結(jié)實的隔板將牲畜隔開,如因墊草、裝置或隔板不足或不當而導致牲畜出現(xiàn)任何損失,風險由發(fā)貨人承擔。
(c) Before the live stock is removed from the possession of the carrier or mingled with other live stock the shipper, owner, consignee or agent thereof shall inform in writing the delivering carrier of any visible or manifest injury to the live stock.
4.3 在承運人交貨或與將牲畜與其他牲畜混裝之前,發(fā)貨人、貨主、收貨人或其代理人必須將牲畜的明傷書面通知交貨的承運人。
Sec. 5. (a) If all or any part of said property is carried by water over any part of said route, and loss, damage or injury to said property occurs while the same is in the custody of a carrier by water the liability of such carrier shall be determined by the bill of lading of the carrier by water (this bill of lading being such bill of lading if the property is transported by such water carrier thereunder) and by and under the laws and regulations applicable to transportation by water. Such water carriage shall be performed subject to all the terms and provisions of, and all the exceptions from liability contained in the Act of Congress of the United States, approved on February 13, 1893, and entitled "an act relating to the navigation of vessels, etc.," and of other statutes of the United States according carriers by water the protection of limited liability, as well as the following subdivisions of this section;and to the conditions contained in this bill of lading not inconsistent with this section, when this bill of lading becomes the bill of lading of the carrier by water.
5.1 如全部或部分貨物經(jīng)規(guī)定路線水路運輸,且在水路承運人的監(jiān)護期間該貨物發(fā)生滅失、損失或傷害,該承運人的責任應根據(jù)水路承運提單(如本提單項下貨物由水路承運人照此運送,本提單應視為此種水路提單),以及適用于水路運輸?shù)姆ㄒ?guī)和規(guī)則予以決定。此種水路運輸必須按照1893年2月13日通過的被稱作“有關(guān)船舶等的駕駛的法規(guī)”的《美國國會法》的所有條款規(guī)定和免責條款、賦予水路承運人有限責任保護的其他美國法規(guī)、以及本條以下款項的規(guī)定執(zhí)行;同時,如本提單用作水路承運提單時,還必須按照本提單中所含的且不與本條規(guī)定相悖的條件執(zhí)行。
(b) No such carrier by water shall be liable for any loss or damage from any fire happening to or on board the vessel, or from explosion, bursting of boilers or breakage of shafts, unless caused by the desire or neglect of such carrier.
5.2 此種水路承運人不得因船上起火、爆炸、鍋爐破裂或機軸損壞而產(chǎn)生的任何滅失或損失負責,除非是由承運人故意或過失所至。
(c) If the owner shall have exercised due diligence in making the vessel in all respects seaworthy and properly manned, and supplied, no such carrier shall be liable for any loss or damage resulting from the perils of the lakes, seas, or other waters, or from latent defects in hull, machinery, or appurtenances whether existing prior to, at the time of, or after sailing, or from collision, stranding, or other accidents of navigation, or from prolongation of the voyage. And, when for any reason it is necessary, any vessel carrying any or all of the property herein described shall be at liberty to call at any port or ports, in or out of the customary route, to tow and be towed, to transfer, transship, or lighter, to load and discharge goods at any time, to assist vessels in distress, to deviate for the purpose of saving life or property, and for docking and repairs. Except in case of negligence such carrier shall not be responsible for any loss or damage to property if it be necessary or is usual to carry the same upon deck.
5.3 如果船東已經(jīng)克盡職責,使船舶在各方面適航,且船舶操縱得當,供應充足,則承運人不得因湖險、海難或其他水域危險,或因船舶、機器、或設備潛在的缺陷,不論該缺陷是在開航前、開航時或開航后存在的,或因碰撞、觸礁、或其他航海事故,或因航行延期所造成的任何滅失損失或損失負責。此外,如有必要,裝運全部或部分本提單項下貨物的任何船舶均有權(quán)在任何港口停泊,不論其是否在慣常航線上,有權(quán)牽引或被牽引,有權(quán)轉(zhuǎn)運,轉(zhuǎn)船、或駁運,有權(quán)隨時裝貨或卸貨,有權(quán)救助遇難船只,有權(quán)為拯救生命或財產(chǎn)、?扛劭谛蘩矶@航。除因疏忽外,承運人不得對因必要或按慣例而將貨物置于甲板上運輸所造成的任何滅失或損失負責。
(d) General Average shall be payable according to the York-Antwerp Rules of 1924, Sections 1 to 15, inclusive, and Sections 17 to 22, inclusive, and as to matters not covered thereby according to the laws and usage of the Port of New York. If the owners shall have exercised due diligence to make the vessel in all respects seaworthy and properly manned, equipped and supplied, it is hereby agreed that in case of danger, damage or disaster resulting from faults or errors in navigation, or in the management of the vessel, or from any latent or other defects in the vessel, her machinery or appurtenance, or from unseaworthiness, whether existing at the time of shipment or at the beginning of the voyage (provided the latent or other defects or the unseaworthiness was not discoverable by the exercise of due diligence), the shipper, consignees and/or owners of the cargo shall nevertheless pay salvage and any special charges incurred in respect of the cargo, and shall contribute with the ship owner in general average to the payment of any sacrifices, losses or expenses of a general average nature that may be made or incurred for the common benefit or to relieve the adventure from any common peril.
5.4 共同海損應根據(jù)1924年的約克—安特衛(wèi)普規(guī)則第1—15條和第17—22條理算,凡未包含在內(nèi)的事項,根據(jù)紐約港的法規(guī)和慣例理算。如果船東已經(jīng)在各方面已經(jīng)克盡職責,使船舶適航,且船只操縱得當,供應充足,雙方同意如因引水或管船過失或錯誤,或因船舶、其機械或設備潛在的或其他缺陷,或因不適航而導致危險、損害或災難,不論是在裝船時或是在開航時(只要是克盡職責而仍然無法發(fā)現(xiàn)潛在的或其他缺陷或不適航),發(fā)貨人、收貨人和/或貨主仍然應當支付因貨物而發(fā)生的救助報酬和任何特別費用,且應與共同海損的船主分攤在共同海損中可能因共同利益或為減輕共同危險而作出的任何犧牲或產(chǎn)生的損失的費用或開支。
(e) If the livestock is being carried under a tariff which provides that any carrier or carriers party thereto shall be liable for loss from perils of the sea, then as to such carrier or carriers the provisions of this section shall be modified in accordance with the tariff provisions, which shall be regarded as incorporated into the conditions of uniform live stock contract.
5.5 如牲畜根據(jù)稅則承運,且按稅則規(guī)定,任何承運人必須對海損損失負責,對此種承運人而言,本條規(guī)定必須根據(jù)稅則規(guī)定予以修正,并視稅則規(guī)定為本統(tǒng)一牲畜貨運合同的條件。
(f) The term "water carriage" in this section shall not be construed as including lighterage in or across rivers, harbors, or lakes, when performed by or on behalf of rail carrier.
5.6 本條款中“水運”一詞不得視為是在鐵路承運時的江河、港口、或湖泊中或往來的駁船運輸。
Sec. 6. Any alteration, addition, or erasure in this bill of lading which shall be made without the special notation hereon of the agent of the carrier issuing this bill of lading, shall be without effect, and' this bill of lading shall be enforceable according to its original tenor.
6.本提單上任何變更、增加或涂改,凡無簽發(fā)提單的承運人的代理人的特殊標記,一律視為無效,本提單應按其原件執(zhí)行。
