   RECEIVED, subject to the classifications and tariffs in effect on the date of the issue of this Bill of Lading,  at ____________, 20 _________from _________________________ the property described below, in apparent good order,  except as noted  (contents and conditions of contents of packages unknown), marked, consigned, and destined as indicated below, which said company (the word company being understood throughout this contract as meaning any person or corporation in possession of the property under the contract) agrees to carry: to its usual place of delivery at said destination, if on its own road or its own water line, otherwise to deliver to anothercarrier on the route to said destination. It is mutually agreed, as to each carrier of all or any of said property over all or any portion of said route to destination, and as to each party at time interested in all or any of said property, that every service to be performed hereunder shall be subject to all the conditions not prohibited by law, whether printed or written, herein contained, including the conditions on back hereof, which are hereby agreed to by the shipper and accepted for himself and his assigns.

    Sec. 1. (a) The carrier or party in possession of any of the property herein described shall be liable as at common law for any loss hereof or damage thereto, except as hereinafter provided.
    1。1  持有本提單所列貨物的承運(yùn)人或當(dāng)事人應(yīng)承擔(dān)普通法所規(guī)定的貨物滅失或損失責(zé)任,以下規(guī)定的除外。
    (b) No carrier or party in possession of all or any of the property herein described shall be liable for any loss thereof or damage thereto or delay caused by the act of God, the public enemy, the authority of law, or the act or default of the shipper or owner, or for natural shrinkage. The carrier's liability shall be that of warehouseman, only for loss, damage, or delay caused by fire occurring after the expiration of the free time allowed by tariffs lawfully on file (such free time to be computed as therein provided) after notice of the arrival of the property at destination or at the port of export ( if intended for export) has been duly sent or given,  and after placement of the property for delivery at destination, or tender of delivery of the property to the party entitled to receive it, has been made.  Except in case of negligence of the carrier or party in possession (and the burden to prove freedom from such negligence shall be on the carrier or party in possession), the carrier or party in possession shall not be liable for loss, damage, or delay occurring while the property is stopped and held in transit upon the request of the shipper, owner, or party entitled to make such request, or resulting from a defect or vice in the property, or for country damage to cotton, or from riots or strikes.
    1.2  持有全部或部分本提單所列貨物的承運(yùn)人或當(dāng)事人不得因不可抗力損失、公敵、法律權(quán)力、或托運(yùn)人或貨主的作為或不作為、或自然損耗而對(duì)貨物導(dǎo)致的任何滅失或損失或產(chǎn)生的任何延誤負(fù)責(zé)。承運(yùn)人的責(zé)任等同于倉(cāng)庫(kù)業(yè)者的責(zé)任,僅對(duì)在運(yùn)費(fèi)表規(guī)定的免費(fèi)時(shí)間(此免費(fèi)時(shí)間運(yùn)費(fèi)表的規(guī)定計(jì)算)到期,且正式發(fā)出或收到貨物抵達(dá)目的地或出口港(如果要出口)的通知,在目的地做好交貨準(zhǔn)備,或提出將貨物提交有權(quán)認(rèn)領(lǐng)貨物的當(dāng)事人之后,因發(fā)生火災(zāi)而造成的滅失、損失或延誤負(fù)責(zé)。除因持有貨物的承運(yùn)人或當(dāng)事人的過(guò)失外(如要推卸此種過(guò)失,其舉證責(zé)任應(yīng)由承運(yùn)人或當(dāng)事人承擔(dān)),承運(yùn)人或當(dāng)事人不得因在托運(yùn)人、貨主、或有請(qǐng)求權(quán)的當(dāng)事人要求貨物途中停留和逗留期間所發(fā)生的,或因貨物的瑕疵或缺陷而導(dǎo)致的滅失、損失或延誤,或因棉花的產(chǎn)地?fù)p失,或暴亂或罷工所導(dǎo)致的滅失、損失或延誤負(fù)責(zé)。
    (c) In case of quarantine the property may be discharged at risk and expense of owners into quarantine depot or elsewhere, as required by quarantine regulations or authorities, or for the carrier's dispatch at nearest available point in carrier's judgement, and in any such case carrier's responsibility shall cease when property is so discharged, or property may be returned by Carrier at owner's expense to shipping point, earning freight both ways. Quarantine expenses of whatever nature or kind upon or in respect to property shall be borne by the owner of the property or be a lien thereon. The carrier shall not be liable for loss or damage occasioned by fumigation or disinfection or other acts required or done by quarantine enforcement there of. No carrier shall be liable, except in case of negligence, for any mistake or inaccuracy in any information furnished by the carrier, its agents, or officers, as to quarantine laws or regulations. The shipper shall hold the carriers harmless from any expense they may incur, or damage they may be required to pay,  by reason of the introduction of the property covered by this contract into any place against the quarantine laws or regulations in effect at such place.
    1.3  因按檢疫規(guī)則或檢疫局規(guī)定在檢疫地處或其他地方卸貨,或?yàn)槌羞\(yùn)速遣在承運(yùn)人認(rèn)為的最近的可行地卸貨,其風(fēng)險(xiǎn)和費(fèi)用由貨主承擔(dān),在任何此種情況,一旦卸貨,承運(yùn)人的責(zé)任終止,承運(yùn)人也可將貨物運(yùn)回裝船地點(diǎn)歸還貨主,費(fèi)用由貨主承擔(dān),運(yùn)費(fèi)按來(lái)回計(jì)算。有關(guān)貨物的一切性質(zhì)或種類的檢疫費(fèi)均由貨主承擔(dān),否則對(duì)貨物有留置權(quán)。承運(yùn)人不得因熏蒸、滅菌或其他由檢疫部門要求或行使的行為而產(chǎn)生的滅失、損失負(fù)責(zé)。承運(yùn)人對(duì)他、他的代理人或高級(jí)職員所提供的有關(guān)檢疫法規(guī)或規(guī)定的任何錯(cuò)誤或偏差概不負(fù)責(zé),因過(guò)失除外。發(fā)貨人應(yīng)承擔(dān)因未遵守某地的檢疫法規(guī)而將本合同項(xiàng)下的貨物運(yùn)入該地而致使承運(yùn)人可能發(fā)生的費(fèi)用,以及可能按規(guī)定應(yīng)當(dāng)賠償?shù)馁M(fèi)用。
    Sec. 2. (a) No carrier is bound to transport said property by any particular train or vessel, or in time for any particular market or otherwise than with reasonable dispatch.  Every carrier shall have the right in case of physical necessity to forward said property by any carrier or route between the point of shipment and the point of destination. In all cases not prohibited by law, where a lower value than actual value has been presented in writing by the shipper or has been agreed upon in writing as the released value of the property as determined by the classification or tariffs upon which the rate is based, such lower value plus freight charges if paid shall be the maximum amount to be recovered, whether or not such loss or damage occurs from negligence.
    2.1  除合理速遣外,承運(yùn)人無(wú)使用專車專船,或?qū)iT為個(gè)別銷售對(duì)象或?yàn)槠渌蚨涌爝\(yùn)送的義務(wù)。如確有必要,承運(yùn)人有權(quán)使用任何運(yùn)輸工具或采用裝運(yùn)地和目的地間的任何路線運(yùn)送上述貨物。在不為法律禁止的情況下,如發(fā)貨人書(shū)面陳述的價(jià)值低于實(shí)際價(jià)值,或此低于實(shí)際價(jià)值之價(jià)值已經(jīng)按確認(rèn)稅率的分類或稅則規(guī)定被書(shū)面認(rèn)可作為貨物的放行價(jià)值,該價(jià)值加運(yùn)費(fèi)(如果已經(jīng)支付)應(yīng)當(dāng)視為最高賠償額,不管滅失或損失是否是因過(guò)失產(chǎn)生。
    (b) As a condition precedent to recovery, claims must be filed in writing with the receiving or delivering carrier, or carrier issuing this bill of lading, or carrier on whose line the loss, damage, injury or delay occurred, within nine months after delivery of the property (or, in case of export traffic, within nine months after delivery at port of export) or, in case of failure to make delivery, then within nine months after a reasonable time for delivery has elapsed; and suits shall be instituted against any carrier only within two years and one day from the day when notice in writing is given by the carrier to the claimant that the carrier has disallowed the claim or any part or parts thereof specified in the notice. Where claims are not filed or suits are not instituted thereon in accordance with the foregoing provisions, no carrier hereunder shall be liable, and such claims will not be paid.
    2.2  作為賠償?shù)那疤釛l件,索賠請(qǐng)求必須作成書(shū)面,于交貨后的9個(gè)月內(nèi)(或,如為出口運(yùn)輸,在出口港交貨后的9個(gè)月內(nèi))或,如果未交貨,應(yīng)在合理交貨時(shí)間后9個(gè)月內(nèi),呈送收貨或交貨的的承運(yùn)人,或簽發(fā)本提單的承運(yùn)人,或在其線路上發(fā)生了滅失、損失、傷害或延誤的承運(yùn)人;在承運(yùn)人發(fā)出其不同意賠付或拒絕任何部分賠付的書(shū)面通知之日起兩年零一天內(nèi),索賠人可對(duì)承運(yùn)人提起訴訟,如不按以上規(guī)定要求索賠或提起訴訟,承運(yùn)人將不負(fù)任何責(zé)任,也不作任何賠償。
    (c) Any carrier or party liable on account of loss or damage ro any of said property shall have the full benefit of any insurance that may have been effected upon or on account of said property, so far as this shall not avoid the policies or contracts of insurance: Provided, That the carrier reimburse the claimant for the premium paid thereon.
    2.3  凡對(duì)上述貨物的任何滅失或損失承擔(dān)責(zé)任的承運(yùn)人或當(dāng)事人,有權(quán)得到就此貨物可能發(fā)生的全部保險(xiǎn)賠償金,只要不致于使保險(xiǎn)單或保險(xiǎn)合同作廢:即,承運(yùn)人必須將此保險(xiǎn)費(fèi)償付給索賠人。
    Sec. 3 Except where such service is required as the result of carrier's negligence, all property shall be subject to necessary cooperage and baling at owner's cost. Each carrier over whose route cotton or cotton linters is to be transported hereunder shall have the privilege, at its own cost and risk, ofcompressing the same for greater convenience in handling or forwarding, and shall not be responsible for deviation or unavoidable delays in procuring such compression. Grain in bulk consigned to a point where there is a railroad, public or licensed elevator, may (unless otherwise expressly noticed herein, and then if it is not promptly unloaded) be there delivered and placed with other grain of the same kind and grade without respect to ownership ( and prompt notice hereof shall be given to the consignor), and if so delivered shall be subject to a lien for elevator charges in addition to all other charges hereunder.
    3.所有貨物都應(yīng)作必要的捆綁,費(fèi)用由貨主承擔(dān),除了因承運(yùn)人的過(guò)失而導(dǎo)致需作此種捆綁服務(wù)外。凡運(yùn)送棉花或棉籽絨的承運(yùn)人有權(quán)將其打包以利于搬運(yùn)或運(yùn)輸,且不得因打包而導(dǎo)致的繞航或不可避免的延誤而負(fù)責(zé),但費(fèi)用得由承運(yùn)人自己承擔(dān)。散裝谷物運(yùn)抵一地后,如此處設(shè)有屬于鐵路、公用或特許的裝卸機(jī),可(除非本提單另有明文規(guī)定,以及當(dāng)時(shí)谷物刁;須立即卸貨)在該地與同類同等級(jí)的谷物一塊卸貨和堆放,而不管其所有權(quán)(但須立即通知發(fā)貨人),由此卸貨后,谷物可因裝卸機(jī)費(fèi)用和其他所有運(yùn)送費(fèi)用而被留置。
    Sec. 4 (a) Property not removed by the party entitled to receive it within the free time allowed by tariffs, lawfully on file (such free time to be computed as therein provided), after notice of the arrival of the property at destination or at the port of export (if intended for export) has been duly sent or given, and after placement of the property for delivery at destination has been made, may be kept in vessel, car, depot, warehouse or place of delivery of the carrier, subject to the tariff charge for storage and to carrier's responsibility as warehouseman, only, or at the option of the carrier, maybe removed to and stored in a public or licensed warehouse at the place of delivery or other available place, at the cost of the owner, and there held without liability on the part of the carrier, and subject to a lien for all freight and other lawful charges, including a reasonable charge
for storage.
    4.1  在發(fā)出貨物抵達(dá),目的地或出口港(如旨在出口)的正式通知,且在目的地做好交貨準(zhǔn)備后,收貨人在稅則規(guī)定且正式公布的免費(fèi)占用港口設(shè)施保管期內(nèi)(此種期限按稅則規(guī)定予以計(jì)算)未領(lǐng)取的貨物,可存放在船只、車皮、倉(cāng)庫(kù)、貨;虺羞\(yùn)人的交貨地,并交納保管費(fèi),承運(yùn)人僅負(fù)貨棧主的責(zé)任,或按承運(yùn)人的選擇搬運(yùn)到交貨地的公共倉(cāng)庫(kù)或保稅倉(cāng)庫(kù)或其他可行的地方予以保管,費(fèi)用由貨主承擔(dān),此時(shí)承運(yùn)人不再負(fù)責(zé)任,所有運(yùn)費(fèi)及其他合法費(fèi)用,包括合理的保管費(fèi)均可轉(zhuǎn)換為留置權(quán)。
    (b)  Where  non-perishable  property  which  has  been  transported  to destination hereunder is refused by the consignee or the party entitled to receive it, or said consignee or party entitled to receive it fail to receive it within 15 days after notice of arrival shall have been duly sent or given, the carrier may sell the same at public auction to the highest bidder, at such place as may be designated by the carrier: Provided, That the carrier shall have first mailed, sent, or given
to the consignor notice that the property has been refused or remains unclaimed, as the case may be, and that it will be subject to sale under the terms of the bill of lading if disposition be not arranged for, and shall have published notice containing a description of the property,  the name of the party to whom consigned, or, if shipped order notify, the name of the party to be notified, and the time and place of sale, once a week for two successive weeks, in a newspaper of general circulation at the place of sale or nearest place where such newspaper is published: Provided, Tht 30 days shall have elapsed before publication of notice of sale after said notice that the property was refused or remains unclaimed was mailed, sent or given.
    4.2  如不易腐爛貨物運(yùn)抵目的地后被收貨人或有權(quán)收貨的當(dāng)事人拒收,或上述收貨人或當(dāng)事人在到貨通知正式發(fā)出后15天內(nèi)未領(lǐng)取貨物,承運(yùn)人可將貨物公開(kāi)拍賣給出價(jià)最高的買主,拍賣地可以由承運(yùn)人指定:但,承運(yùn)人必須首先向發(fā)貨人郵寄或遞交通知,視情況說(shuō)明貨物被拒收或無(wú)人認(rèn)領(lǐng),如不安排處置,貨物將按照本提單的條款予以出售,且必須發(fā)布告示,說(shuō)明貨物品名、收貨人姓名、或,如到貨需通知,到貨受通知人的姓名以及拍賣的時(shí)間和地點(diǎn),公告應(yīng)登載在拍賣地或離拍賣地最近的地方所發(fā)行的最為流行的報(bào)紙上,每
周一次,連續(xù)刊登兩周:必須注意,只有在上述說(shuō)明貨物被拒收或無(wú)人認(rèn)領(lǐng)的通知郵寄或遞送出30天后方可登載拍賣公告。
    (c) Where perishable property which has been transported hereunder to destination, is refused by consignee or party entitled to receive it,  or said consignee or party entitled to receive it shall fail to .receive it promptly, the carrier may, in'its discretion, to prevent deterioration or further deterioration, sell the same to the 'best advantage at private or public sale: Provided, Thht if time serves for notification to the consignor or owner of the refusal of the property or the failure to receive it and request for disposition of the property, such notification shall be given, in such manner as the exercise of due diligence requires, before the property is sold.
    4.3  如果按本規(guī)定運(yùn)抵目的地的易腐爛貨物被收貨人或有權(quán)收貨的當(dāng)事人拒收,或上述收貨人或當(dāng)事人未及時(shí)領(lǐng)取貨物,為防止腐爛或進(jìn)一步腐爛,承運(yùn)人可根據(jù)自己的選擇,以最好的價(jià)格將貨物私下或公開(kāi)出售:但,如來(lái)得及通知托運(yùn)人或貨主,說(shuō)明貨物被拒收或無(wú)人認(rèn)領(lǐng),并要求處置貨物,則必須在貨物出售之前按規(guī)定的應(yīng)有的注意的方式予以通知。
    (d) Where the procedure provided for in the two paragraphs last preceding is not possible, it is agreed that nothing contained in said paragraphs shall be construed to abridge the right of the carrier at its option to sell the property under such circumstances and in such manner as may be authorized by law.
    4.4  如果無(wú)法履行以上兩款的規(guī)定,雙方同意上述兩款之規(guī)定不得剝奪承運(yùn)人在法律準(zhǔn)許的情況下按法定方式出售貨物的權(quán)利。
    (e) The proceeds of any sale made under this section shall be applied by the carrier to payment of freight, demurrage, and any other lawful charges and the expense of notice,  advertisement, sale,  and other necessary expense and of caring for and maintaining the property, if proper care of the same requires special expense, and should there be a balance it shall be paid to the owner of the property sold hereunder.
    4.5  根據(jù)本條規(guī)定進(jìn)行出售所得的一切收入均應(yīng)被承運(yùn)人用于償付運(yùn)費(fèi)、滯期費(fèi)以及任何其他合法費(fèi)用和通知費(fèi)、廣告費(fèi)、銷售費(fèi)、其他必要的開(kāi)支和貨物的看管和保管費(fèi)(如適當(dāng)看管貨物需要特別費(fèi)用),如有剩余,應(yīng)交還被出售貨物的貨主。
    (f) Property destined to or taken from a station, wharf, or landing at which there is no regularly appointed freight agent shall be entirely at the risk of owner after unloaded from cars or vessels or until loaded into cars or vessels, and, except in case of carrier's negligence, when received from or delivered to such stations, wharves, or landings shall be at owner's risk until the cars are attached to and after they are detached from locomotive or train or until loaded into and after unloaded from vessels.
    4.6  如目的地或發(fā)運(yùn)站、碼頭、或登陸地沒(méi)有正式指派的貨運(yùn)代理人,貨物一旦從車皮或輪船卸下或裝上車皮或輪船,風(fēng)險(xiǎn)完全由貨主承擔(dān),且,除非是由于承運(yùn)人的疏忽,如在此種車站、碼頭或登陸地發(fā)貨或收貨,在車皮接上機(jī)車前或在車皮從機(jī)車上卸下之后,或貨物裝上輪船之前或從船上卸下之后,風(fēng)險(xiǎn)應(yīng)由貨主承擔(dān)。
    Sec. 5. No carrier hereunder will carry or be liable in any way for any documents, specie, or for any articles of extraordinary value not specifically rated in the published classification or tariffs unless a Special agreement to do so and stipulated value of the articles are endorsed hereon.
    5.承運(yùn)人不承運(yùn)且不負(fù)責(zé)任何文件、硬幣;或任何分類規(guī)定或稅則上無(wú)明文規(guī)定的具有特殊價(jià)值的物品,除非就此有專門協(xié)議,且在此提單上注明物品的約定價(jià)值。
    Sec. 6. Every party, whether principal or agent, shipping explosives or dangerous goods, without previous full written disclosure to the carrier of their nature, shall be liable for and indemnify the carrier against all loss or damage caused by such goods, and such goods may be warehoused at owner's risk and expense or destroyed without compensation.
    6.凡發(fā)運(yùn)爆炸或危險(xiǎn)物品的當(dāng)事人,不論是委托人或代理人,如事前沒(méi)有書(shū)面對(duì)承運(yùn)人充分說(shuō)明物品的性質(zhì),應(yīng)對(duì)此種物品所造成的一切滅失或損失負(fù)責(zé)并向承運(yùn)人進(jìn)行賠償,此種物品可以被儲(chǔ)管,風(fēng)險(xiǎn)及費(fèi)用由貨主承擔(dān),或進(jìn)行銷毀,不用賠償。
    Sec. 7. The owner or consignee shall pay the freight and average, if any, and all other lawful charges accruing on said property; but, except in those instances where it may lawfully be authorized to do so, no carrier by railroad shall deliver or relinquish possession at destination of the property covered by this bill of lading until all tariff rates and charges thereon have been paid. The consignor shall be liable for the freight and all other charges, except that if the consignor stipulates, by signature, in the space provided for the purpose on the face of this bill of lading that the carrier shall not make delivery without requiring payment of such charges and the carrier, contrary to such stipulation, shall make delivery without requiring such payment, the consignor (except as hereinafter provided) shall not be liable for such charges. Provided, that, where the carrier has been instructed by the shipper or consignor to deliver said property to a consignee other than the shipper or consignor, such consignee shall not be legally liable for transportation charges in respect of the transportation of said property (beyond those billed against him at the time of delivery for whichhe is otherwise liable) which may be found to be due after the property has been
delivered to him, if the consignee (a) is an agent only and has no beneficial title in said property, and (b)prior to delivery of said property has notified the delivering carrier in writing of the fact of such agency and absence of beneficial title, and, in the case of a shipment re-consigned or diverted to a point other than that specified in the original bill of lading, has also notified the delivering carrier in writing of the name and address of the beneficial owner of said property; and, in such cases the shipper or consignor, or, in the case of a shipment so re-consigned or diverted, the beneficial owner, shall be liable for such additional charges.  If the consignee has given to the carrier erroneous information as to who the beneficial owner is, such consignee shall himself be liable for such additional charges. On shipment re-consigned or diverted by an agent who has furnished the carrier in the re-consignment or diversion order with a notice of agency and the proper name and address of the beneficial owner, and where such shipments are refused or abandoned at ultimate destination, the said beneficial owner shall be liable for all legally applicable charges in connection herewith.  If the re-consignor or diverter has given to the carrier erroneous information as to who the beneficial owner is, such re-consignor or diverter shall himself be liable for all such charges.
    7.貨主或收貨人應(yīng)當(dāng)支付運(yùn)費(fèi)和海損費(fèi)(如果有),以及其他一切因上述貨物所發(fā)生的合法費(fèi)用;除了被合法授權(quán)外,鐵路承運(yùn)人不得在稅款和費(fèi)用完清前,在目的地就本提單項(xiàng)下的貨物進(jìn)行交貨或放棄對(duì)貨物的占有。發(fā)貨人應(yīng)負(fù)責(zé)運(yùn)費(fèi)和其他一切費(fèi)用,除非發(fā)貨人在本提單正面專門署名規(guī)定承運(yùn)人不得不收費(fèi)而交貨,而承運(yùn)人違背該規(guī)定,不收費(fèi)而交貨,則發(fā)貨人(本提單以下規(guī)定除外)對(duì)此種費(fèi)用不予負(fù)責(zé)。如發(fā)貨人或托運(yùn)人指示承運(yùn)人將貨物交給發(fā)貨人或托運(yùn)人以外的其他收貨人,該收貨人不對(duì)上述貨物的運(yùn)費(fèi)負(fù)責(zé)(交貨時(shí)他應(yīng)負(fù)責(zé)的其他費(fèi)用除外),即便在他提取貨物后發(fā)現(xiàn)應(yīng)交運(yùn)費(fèi),如果收貨人(1)僅是一位代理人,對(duì)貨物無(wú)利益關(guān)系,和(2)在交貨之前,已經(jīng)書(shū)面通知作為交貨方的承運(yùn)人,說(shuō)明代理和沒(méi)有利益的事實(shí),且,如果貨物是再承運(yùn)和轉(zhuǎn)運(yùn)到正本提單規(guī)定地以外的地點(diǎn),已經(jīng)書(shū)面通知承運(yùn)人有關(guān)貨物的受益權(quán)所有人的姓名和地址;在此種情況下,發(fā)貨人或托運(yùn)人,或,如貨物如上所述再承運(yùn)或轉(zhuǎn)運(yùn),受益權(quán)所有人,應(yīng)對(duì)額外費(fèi)用負(fù)責(zé)。如果收貨人給予承運(yùn)人有關(guān)受益權(quán)所有人的信息有誤,收貨人自己應(yīng)當(dāng)承擔(dān)由此發(fā)生的額外費(fèi)用。如代理人給予承運(yùn)人指令使貨物再承運(yùn)或轉(zhuǎn)運(yùn),且通知了承運(yùn)人受益權(quán)所有人的姓名和地址,而在最后目的地貨物被拒收或無(wú)主,該受益權(quán)所有人必須對(duì)一切相關(guān)的合法費(fèi)用負(fù)責(zé)。如果再發(fā)貨人或轉(zhuǎn)運(yùn)人給與承運(yùn)人有關(guān)受益權(quán)所有人的信息有誤,再發(fā)貨人或轉(zhuǎn)運(yùn)人應(yīng)當(dāng)自己承擔(dān)所有有關(guān)費(fèi)用。
    If a shipper or consignor of a shipment of property (other than a prepaid shipment) is also the consignee named in the bill of lading and, prior to the time of delivery, notifies, in writing, a delivering carrier by railroad (a) to deliver such property at destination to another party,  (b) that such party is the beneficial owner of such property, and (c) that delivery is to be made to such party only upon payment of all transportation charges in respect of the transportation of such property, and delivery is made by the carrier to such party without such payment, such shipper or consignor shall not be liable (as shipper, consignee, or otherwise) for such transportation charges but the party to whom delivery is so made shall in any event be liable for transportation charges billed against the property at the time of such delivery, and also for any additional charges which may be found to be due after delivery of the property, except that if such party prior to such delivery has notified in writing the delivering carrier that he is not the beneficial owner of the property, and has given in writing to such delivering carrier the name and address of such beneficial owner, such party shall not be liable for any additional charges which may be found to be due after delivery of the property; but if the party to whom delivery is made has given to the carrier erroneous information as to beneficial owner,  such party shall nevertheless be liable for such additional charges. If the shipper or consignor has given to the delivering carrier erroneous information as to who the beneficial owner is, such shipper or consignor shall himself be liable for such transportation charges,  notwithstanding  the foregoing  provisions of  this  paragraph  and irrespective of any provisions to the contrary in the bill of lading or in the contract of transportation under which the shipment was made.  The term "delivering carrier" means the line-haul carrier making ultimate delivery.
    如果貨物的發(fā)貨人或托運(yùn)人(預(yù)付發(fā)運(yùn)除外)同時(shí)也是提單上指名的收貨人,且在交貨之前書(shū)面通知作為交貨方的鐵路承運(yùn)人,說(shuō)明(1)在目的地將貨物交給其他當(dāng)事人,(2)該當(dāng)事人是貨物的受益權(quán)所有人,且(3)在貨物有關(guān)運(yùn)費(fèi)全部繳清后方能將其交給該當(dāng)事人,而承運(yùn)人未收運(yùn)費(fèi)卻將貨物發(fā)放給該當(dāng)事人,此時(shí)該發(fā)貨人或托運(yùn)人(作為發(fā)貨人、收貨人或其他身份)不對(duì)運(yùn)費(fèi)負(fù)責(zé),而提貨的此當(dāng)事人卻應(yīng)當(dāng)對(duì)在提貨時(shí)應(yīng)收的運(yùn)費(fèi),以及提貨后發(fā)現(xiàn)的應(yīng)收的任何額外費(fèi)用負(fù)責(zé),但如該當(dāng)事人在提貨之前說(shuō)明通知了交貨的承運(yùn)人,說(shuō)明他不是貨物的受益權(quán)所有人,且書(shū)面將受益權(quán)所有人的姓名和地址給了承運(yùn)人,該當(dāng)事人將不對(duì)交貨后可能發(fā)生的任何額外費(fèi)用負(fù)責(zé);但如果該提貨的當(dāng)事人所給作為交貨方的承運(yùn)人的有關(guān)受益權(quán)所有人的信息有誤,該當(dāng)事人仍應(yīng)對(duì)額外費(fèi)用負(fù)責(zé)。如果發(fā)貨人或托運(yùn)人給交貨的承運(yùn)人的有關(guān)受益權(quán)所有人的信息發(fā)生錯(cuò)誤,該發(fā)貨人或托運(yùn)人應(yīng)自己承擔(dān)運(yùn)費(fèi),不管本款以上如何規(guī)定,也不管此提單或該貨物運(yùn)輸合同中是否有任何相悖的規(guī)定。術(shù)語(yǔ)“交貨方的承運(yùn)人”指最后交貨的長(zhǎng)途運(yùn)輸承運(yùn)人。
    Nothing herein shall limit the right of the carrier to require at time of shipment the prepayment or guarantee of the charges. If upon inspection it is ascertained that the articles shipped are not those described in this bill of lading, the freight charges must be paid upon the articles actually shipped.
    本提單的任何規(guī)定不得限制承運(yùn)人在裝運(yùn)時(shí)提出預(yù)付費(fèi)用或費(fèi)用擔(dān)保的權(quán)利。如果經(jīng)過(guò)檢查,確認(rèn)運(yùn)送的物品不是提單上所列的物品,運(yùn)費(fèi)必須按事實(shí)運(yùn)送的物品支付。
    Where delivery is made by a common carrier by water the foregoing provisions of this section shall apply, except as may be inconsistent with Part Ⅲ of the Commerce Act.
    如果交貨人為水運(yùn)公共承運(yùn)人,本條以上規(guī)定適用,與《商法》第3篇相悖的除外。
    Sec. 8. If this bill of lading is issued on the order of the shipper, or his agent, in exchange or in substitution for another bill of lading, the shipper' s signature to the prior bill of lading as to the statement of value or otherwise, or election of common law or bill of lading liability, in or in connection with such prior bill of lading, shall be considered a part of this bill of lading as fully as if the same were written or made in or in connection with this bill of lading.
    8.如果本提單是應(yīng)發(fā)貨人或其代理人的指示簽發(fā),以換取或替代另一張?zhí)釂,發(fā)貨人就貨物價(jià)值或其他事項(xiàng)的聲明、或就普通法或提單責(zé)任的選擇在前一張?zhí)釂紊系暮炞,不論是否與前一張?zhí)釂斡嘘P(guān)聯(lián),均應(yīng)視為本提單的一部分,效力等同于在本提單或與之有關(guān)的簽字。
    Sec. 9. (a) If all or any part of said property is carried by water over any part of said route, and loss, damage or injury to said property occurs while the same is in the custody of a carrier by water the liability of such carrier shall be determined by the bill of lading of the carrier by water (this bill of lading being such bill of lading if the property is transported by such water carrier thereunder)  and by and under the laws and  regulations applicable  to transportation by water. Such water carriage shall be performed subject to all the terms and provisions of, and all the exceptions from liability contained in the Act of Congress of the United States, approved on February 13, 1893, and entitled "an act relating to the navigation of vessels, etc.," and of other statutes of the united States according carriers by water the protection of limited liability, as well as the following subdivisions of this section; and to the conditions contained in this bill of lading not inconsistent with this section, when this bill of lading becomes the bill of lading of the carrier by water.
    9.1  如全部或部分貨物經(jīng)規(guī)定路線水路運(yùn)輸,且在水路承運(yùn)人的監(jiān)護(hù)期間該貨物發(fā)生滅失、損失或損害,該承運(yùn)人的責(zé)任應(yīng)根據(jù)水路承運(yùn)提單(如本提單項(xiàng)下貨物由水路承運(yùn)人照此運(yùn)送,本提單應(yīng)視為此種水路提單),以及適用于水路運(yùn)輸?shù)姆ㄒ?guī)和規(guī)則予以決定。此種水路運(yùn)輸必須按照1893年2月13日通過(guò)的《美國(guó)國(guó)會(huì)法》的所有條款規(guī)定和免責(zé)條款,賦予水路承運(yùn)人有限責(zé)任限制保護(hù)的其他美國(guó)法規(guī),以及本條以下款項(xiàng)的規(guī)定執(zhí)行;同時(shí),如本提單用作水路承運(yùn)提單時(shí),還必須按照本提單中所含的且不與本條規(guī)定相悖的條件執(zhí)行。
    (b) No such carrier by water shall be liable for any loss or damage from any fire happening to or on board the vessel, or from explosion, bursting of boilers or breakage of shafts, unless caused by the desire or neglect of such carrier.
    9.2  此種水路承運(yùn)人不對(duì)因船上起火、爆炸、鍋爐破裂或機(jī)軸損壞而產(chǎn)生的任何滅失或損失負(fù)責(zé),除非是由承運(yùn)人故意或過(guò)失所至。
    (c) If the owner shall have exercised due diligence in making the vessel in all respects seaworthy and properly manned, and supplied, no such carrier shall be liable for any loss or damage resulting from the perils of the lakes, seas, or other waters,  or from latent defects in hull,  machinery,  or appurtenances whether existing prior to, at the time of, or after sailing, or from collision, stranding, or other accidents of navigation, or from prolongation of the voyage. And, when for any reason it is necessary, any vessel carrying any or all of the property herein described shall be at liberty to call at any port or ports, in or out of the customary route, to tow and be towed, to transfer, transship, or lighter, to load and discharge goods at any time, to assist vessels in distress, to deviate for the purpose of saving life or property, and for docking and repairs. Except in case of negligence such carrier shall not be responsible for any loss or damage to property if it be necessary or is usual to carry the same upon deck.
    9.3  如果船東已經(jīng)克盡職責(zé),使船舶在各方面適航,且船只操縱得當(dāng),供應(yīng)充足,則承運(yùn)人不得因湖險(xiǎn)、海難或其他水域危險(xiǎn),或因船殼、機(jī)器、或設(shè)備潛在的缺陷,不論該缺陷是在開(kāi)航前、開(kāi)航時(shí)或開(kāi)航后存在的,或因碰撞、觸礁、或其他航海事故,或因航行展期所造成的任何滅失或損失負(fù)責(zé)。此外,如有必要,裝運(yùn)全部或部分本提單項(xiàng)下貨物的任何船舶均有權(quán)在任何港口停泊,不論是否在慣常的航線上,有權(quán)牽引或被牽引,有權(quán)轉(zhuǎn)貨、轉(zhuǎn)船,或駁運(yùn),有權(quán)隨時(shí)裝貨或卸貨,有權(quán)救助遇難船舶,有權(quán)為拯救生命或財(cái)產(chǎn)、停靠碼頭修理
而繞航。除因疏忽外,承運(yùn)人不得對(duì)因必要或慣例而將貨物置于甲板上運(yùn)輸所造成的任何滅失或損失負(fù)責(zé)。
    (d) General Average shall be payable according to the York-Antwerp Rules of 1924, Sections i to 15, inclusive, and Sections 17 to 22, inclusive, and as to matters not covered thereby according to the laws and usage of the Port of New York. If the owners shall have exercised due diligence to make the vessel in all respects seaworthy and properly manned, equipped and supplied, it is hereby agreed that in case of danger, damage or disaster resulting from faults or errors in navigation, or in the management of the vessel, or from any latent or other defects in the vessel, her machinery or appurtenance, or from unseaworthiness, whether existing at the time of shipment or at the beginning of the voyage (provided the latent or other defects or the unseaworthiness was not discoverable by the exercise of due diligence), the shipper, consignees and/or owners of the cargo shall nevertheless pay salvage and any special charges incurred in respect of the cargo, and shall contribute with the ship owner in general average to the payment of any sacrifices, losses or expenses of a general average nature that may be made or incurred for the common benefit or to relieve the adventure from any common peril.
    9.4  共同海損應(yīng)根據(jù)1924年的約克-安特衛(wèi)普規(guī)則第1-15條和第17-22條理算,凡未包含在內(nèi)的事項(xiàng),根據(jù)紐約港的法規(guī)和慣例理算。如果船東已經(jīng)克盡職責(zé)使船舶適航,且船舶操縱得當(dāng),供應(yīng)充足,雙方同意如因航行或管船過(guò)失或錯(cuò)誤,或因船舶、其機(jī)械或設(shè)備潛在的或其他缺陷,或因不適航而導(dǎo)致危險(xiǎn)、損害或?yàn)?zāi)難,不論是在裝船時(shí)或是在開(kāi)航時(shí)(只要是克盡職責(zé)而仍然無(wú)法發(fā)現(xiàn)潛在的或其他缺陷或不適航),發(fā)貨人、收貨人和/或貨主仍然應(yīng)當(dāng)支付因貨物而發(fā)生的救助報(bào)酬和任何特別費(fèi)用,且應(yīng)與共同海損的船東分?jǐn)傇诠餐p中可能因共同利益或?yàn)闇p輕共同危險(xiǎn)而作出的任何犧牲或產(chǎn)生的損失的費(fèi)用或開(kāi)支。
    (e) If the property is being carried under a tariff which provides that any carrier or carriers party thereto shall be liable for loss from perils of the sea, then as to such carrier or carriers the provisions of this section shall be modified in accordance with the tariff provisions, which shall be regarded as incorporated into the conditions of this bill of lading.
    9.5  如貨物按稅則承運(yùn),且稅則規(guī)定任何承運(yùn)人必須對(duì)海損損失負(fù)責(zé),對(duì)此種承運(yùn)人而言,本條規(guī)定必須根據(jù)稅則規(guī)定予以修正,并視其為本提單的條件。
    (f) The term "water carriage" in this section shall not be construed as including lighterage in or across rivers, harbors, or lakes, when performed by or on behalf of rail carrier.
    9.6  本條中“水運(yùn)”一詞不得視為是在鐵路承運(yùn)時(shí)的江河、港口、或湖泊中或往來(lái)的駁船運(yùn)輸。
    Sec. 10. Any alteration, addition, or erasure in this bill of lading which shall be made without the special notation hereon of the agent of the carrier issuing this bill of lading, shall be without effect, and this bill of lading shall be enforceable according to its original tenor.
    10.本提單上任何變更、增加或涂改,凡無(wú)簽發(fā)提單的承運(yùn)人的代理人的特殊標(biāo)記,一律視為無(wú)效,本提單應(yīng)按其原件執(zhí)行。
