前言  Recitals

鑒于，轉(zhuǎn)讓方擁有500Mpa高強度螺紋鋼筋的生產(chǎn)方法的專利申請權(quán)及其優(yōu)先權(quán)，該專利申請?zhí)枮開______，申請日為2005年12月26日，該專利申請已通過中國國家知識產(chǎn)權(quán)局初步審查，且已公布；

Whereas, the Transferor owns the Patent Application Right in respect of the production method of 500 Mpa high tensile stress deformed bar (“the Patent Application Right”) and the priorities thereof. The No. of the Patent Application is XXX, and its date is December 26, 2005. The Patent Application has passed the preliminary examination of the State Intellectual Property Office of the People’s Republic of China (“ the SIPO”) and been announced publicly;

鑒于，受讓方基于對上述專利申請的了解，希望獲得該專利申請權(quán)及其優(yōu)先權(quán)；

Whereas, the Transferee, based on its understanding of the Patent Application, desires to obtain the Patent Application and the priorities thereof;

鑒于，轉(zhuǎn)讓方同意將其擁有的專利申請權(quán)及其優(yōu)先權(quán)轉(zhuǎn)讓給受讓方；

Whereas, the Transferor agrees to transfer the Patent Application Right and the priorities thereof to the Transferee;

因此，雙方一致同意簽訂本合同。

NOW THEREFORE, both the Parties agree as follows:

第一條轉(zhuǎn)讓方向受讓方交付資料

Article 1 Materials to be delivered by the Transferor to the Transferee

1、向中國國家知識產(chǎn)權(quán)局遞交的全部專利申請文件，包括說明書、權(quán)利要求書、附圖、摘要及摘要附圖、請求書、意見陳述書以及著錄事項變更、權(quán)利喪失后恢復(fù)權(quán)利的審批決定，代理委托書等。

1. All Patent Application documents submitted to the SIPO, including but not limited to the description, claims, drawing, abstract, drawing to the abstract, request, statement, change of bibliographic date, decision after examination and approval on restoration of the right after loss thereof, authorization of agent, if any.

2、中國國家知識產(chǎn)權(quán)局發(fā)給轉(zhuǎn)讓方的所有文件，包括受理通知書，中間文件，授權(quán)決定等。

2. All documents issued by the SIPO to the Transferor, including but not limited to the notice of entertainment, intermediate documents, and decision on grant.
3、中國國家知識產(chǎn)權(quán)局出具的專利申請權(quán)有效的證明文件，指該專利申請維持費繳費憑證（或知識產(chǎn)權(quán)局的專利法律狀況登記簿）。

3. The certificates proving the validity of the Patent Application Right issued by the SIPO, that is, the certificate for payment of the maintaining fees of the Patent Application (or the register of patent legal status of the SIPO).

4、有關(guān)主管部門的批準(zhǔn)轉(zhuǎn)讓文件（轉(zhuǎn)讓方應(yīng)在本合同簽訂后及時負責(zé)辦理有關(guān)批準(zhǔn)手續(xù)）。

4. The approval of the transfer issued by the competent department (the Transferor shall timely handle the relevant procedures for approval of the transfer after this Contract is signed).
