TERMS AND CONDITIONS OF COMMERCIAL LETTER OF CREDIT AND ECURITY AGREEMENT

In consideration of your issuing the Credit，substantially according to the Application appearing on the reverse side hereof or as attached thereto and initialed by us，we，the undersigned，hereby jointly and severally agree as follows：
鑒于貴行信用證基本上是按本協(xié)議反面所載的（或本協(xié)議所附的）我們申請(qǐng)的條件開(kāi)立，我們，以下署名人，特在此以共同及個(gè)別名義同意下列條件：
1． As to the drafts or acceptances under or purporting to be under the Credit, which are payable in United States Dollars, we agree：
對(duì)于本信用證項(xiàng)下的用美元支付的匯票或承兌匯票，我們同意：
（a）in the case of each sight draft, to reimburse you at your office, on demand, in legal tender of the United States of America, the amount paid on such drafts, or, if so demanded by you, to pay you at your office in advance in legal tender of the United States of America the amount required to pay such draft；and
就即期匯票，在貴行按美國(guó)法定償付方式，照匯票面額即期償付貴行，若應(yīng)貴行要求，也可在貴行按美國(guó)法定償付方式，提前照匯票面額償付貴行；
（b）in case of each acceptance, to pay to you at your office, in legal tender of the United States of America the amount thereof, on demand but in any event not later than the date of maturity．
就承兌匯票，在貴行按美國(guó)法定償付方式，照面額即期償付貴行，但無(wú)論如何不得超過(guò)有效期。
2．As to drafts or acceptances under or purporting to be under the Credit which are payable in currency other than United States Dollars we agree：
對(duì)于本信用證項(xiàng)下的不用美元支付的匯票或承兌匯票，我們同意：
（a）in the case of each sight draft, to reimburse you at your office, on demand, the equivalent of the amount paid, in legal tender of the United States of America at the rate of exchange then current in Los Angeles for cable transfers to the place of payment in the currency in which such draft is drawn, with interest from the date of payment of the instrument, or if so demanded by you, to pay you, at your office in advance, in United States currency, the equivalent of the amount required to pay the same, and
就即期匯票，在貴行按美國(guó)法定的償付方式，即期償付貴行根據(jù)當(dāng)時(shí)洛杉磯的現(xiàn)行匯兌率，按匯票規(guī)定的貨幣所支付的數(shù)額電匯到支付地，外加從支付之日算起的利息，若應(yīng)貴行要求，也可在貴行以等額的美元提前償付應(yīng)支付的數(shù)額；
（b）in the case of each acceptance, to pay you at your office, on demand, the equivalent of the acceptance in the legal tender of the United States of America at the current rate of exchange for demand drafts on the place of payment, if payment is made by us in time to reach the place of payment in the course of mails not later than the date of maturity, or at the current rate of Los Angeles for cable transfers at time of transmission to the place of payment in the currency in which the acceptance is payable, if such payment is made at your office on the maturity date． If, for any cause whatsoever, there exists at the time in question no rate of exchange generally current in Los Angeles for effective cable transfers of the sort above provided for, we agree to pay you on demand an amount in United States Dollars equivalent to the actual cost of settlement of your obligation to the payor of the draft or acceptance or any holder thereof, as the case may be, and however and whenever such settlement may be made by you, including interest on the amount of dollars payable by us from the date of payment of such draft or acceptance to the date of our payment to you at the rate customarily charged by you in like circumstances．
就承兌匯票，在貴行依美國(guó)法定的償付方式，按匯票支付地的即期匯票匯兌率（如我方償付時(shí)，郵寄錢(qián)款到支付地而不得誤期），或按電匯匯寄匯票的規(guī)定貨幣到支付地洛杉磯時(shí)的現(xiàn)行匯兌率（如我方是在到期之日在貴行進(jìn)行償付）即期向貴行償付等同于匯票面額的款額。如在相關(guān)時(shí)間，洛杉磯沒(méi)有以上所規(guī)定的那種現(xiàn)行匯兌率（不論原因何在），我們同意以美元，即期償付等同于貴行實(shí)際履行對(duì)匯票或承兌匯票付款人或持有人的債務(wù)時(shí)支付的款額，不論貴行在何時(shí)或以何種方式履行，其中包括從貴行支付匯票（或承兌匯票）之日起到我們依貴行在此種情況下的慣常收費(fèi)率進(jìn)行償付之日為止，按我方應(yīng)償付美元數(shù)額計(jì)息的利息。
3．In the event that any United States dollar drafts are drawn by us on you in order to refinance any obligation set forth in the proceeding two sections, and such drafts, at your option, are accepted by you, we agree to pay you on demand, but in any event not later than the maturity date the amount of each such acceptance． Each amount which may become due and payable to you under this Agreement may, in your discretion and if not otherwise paid, be charged by you to any available funds by you for our account．
如果我方為償還以上兩條所規(guī)定的債務(wù)而簽發(fā)了向貴行支取美元的支票，且這些支票為貴行所承兌，我們同意即期償付貴行所有的承兌款額，任何情況下均不得晚于到期日。本協(xié)議所規(guī)定的每一筆到期應(yīng)交付貴行的金額，如果沒(méi)以其他方式交付，貴行可自行從我方賬戶(hù)上劃走。
4． We agree to pay you on demand, with respect to the Credit, a commission at such rate as you may determine to be proper, and any and all charges and expenses which may be paid or incurred by you in connection with the Credit, together with interest where chargeable． Interest payable hereunder shall be at the rate customarily charged by you at the time in like circumstances．
就本信用證而言，我們同意即期向貴行交付一筆貴行認(rèn)為適當(dāng)?shù)膫蚪�，并償付一切因本證而發(fā)生的費(fèi)用和支出，以及應(yīng)交付的利息。貴行應(yīng)按同類(lèi)情況的慣常標(biāo)準(zhǔn)收取利息。
5． As security for all of our obligations and liabilities to you, we hereby recognize and admit your security interest in all property shipped under or pursuant to or in connection with the Credit or in any way relative thereto or to the drafts drawn there under, whether or not released to us or to our agents on security agreements, and also in and to all shipping documents, warehouse receipts, policies or certificates of insurance and other documents accompanying or relative to drafts drawn under or in connection with the Credit, and in and to the proceeds of each and all of the foregoing , until such time as all the obligations and liabilities of us or any of us to you at any time existing under or with reference to the Credit or this Agreement, or any other obligation or liability to you have been fully paid and discharged；and that all or any of such property and documents, and the proceeds of any thereof, coming into your possession or that of any of your correspondents, may be held and disposed of as hereinafter provided． You shall have all of the rights of a secured party under the Uniform Commercial Code in the aforesaid property and, in addition, shall have all of the rights specified herein． We agree to execute such financing statements and other writings as shall be necessary to perfect and maintain your security interest in all said property and to pay all costs of filing financing, continuation and termination statements with respect to your security interest hereunder． The receipt by you or any of your correspondents at time of other security of whatsoever nature, including cash, shall not be deemed a waiver of any of your rights or powers herein recognized．

6． In absence of written instructions expressly to the contrary, we agree that you or any of your correspondents may receive and accept as" bills of lading" under the Credit, any document issued or purporting to be issued by or on behalf of any carrier, which acknowledges receipt of property for transportation, whatever the other specific provisions of such document（s）, and that the date of each such document shall be regarded as the date of shipment of the property mentioned therein； however, on an ocean bill of lading the date of an onboard notation is to be considered the shipment date． Any such bill of lading issued by or on behalf of an ocean carrier may be accepted by you as an "ocean bill of lading" whether or not the entire transportation is by water． Unless otherwise specifically agreed in writing, partial shipments may be made and you may honor the relative drafts, our liability to reimburse you for payments made or obligations incurred on such drafts being limited to the amount of the Credit． If the Credit specified shipments in installments within given periods, and any installment is not shipped within the period allowed for that installment, the Credit ceases to be available for that or any subsequent installment, unless otherwise expressly provided in the Credit． You and any of your correspondents may receive and accept as documents of insurance under the Credit either insurance policies or insurance certificates which need not be for an amount of insurance greater than the amount paid by you under or relative to the Credit． You and any of your correspondents may receive, accept, or pay as complying with the terms of the Credit, any drafts or other documents, otherwise in order, which may be signed by, or issued to, the administrator or executor of, or the trustee in bankruptcy or the receiver for any of the property of, the party in whose name it is provided in the Credit that any drafts or other documents should be drawn or issued．
如無(wú)相反的書(shū)面文件明確規(guī)定，我們同意貴行或貴代理銀行接受任何承運(yùn)人或其代理人簽發(fā)或旨在簽發(fā)的，承認(rèn)收到財(cái)產(chǎn)準(zhǔn)備付運(yùn)的一切單據(jù)，并將其視為本信用證的“提單”，不論此種單據(jù)有無(wú)其他任何具體規(guī)定，同意將各單據(jù)的簽發(fā)期視為是其所載明的財(cái)產(chǎn)的裝運(yùn)日期；但就海運(yùn)提單而言，提單上的已裝船批注日期才是裝運(yùn)日期。由海運(yùn)承運(yùn)人或其代理人簽發(fā)的所有類(lèi)似提單均可被貴行作為“海運(yùn)提單”接受，不論其中是否有不屬于水運(yùn)的運(yùn)輸。如無(wú)另行書(shū)面規(guī)定，準(zhǔn)許分批裝運(yùn)，貴行可承兌相關(guān)的匯票，就貴行支付此種匯票或因匯票而產(chǎn)生的債務(wù)，我們的償付責(zé)任僅限于此信用證的面額。如信用證具體規(guī)定了分期裝運(yùn)的特定期限，只要有一期裝運(yùn)不在規(guī)定的期限內(nèi)，此信用證便不再適用這期裝運(yùn)，且不再適用今后的裝運(yùn)，但此信用證另有明文規(guī)定的除外。貴行或貴代理銀行可接收保險(xiǎn)單或保險(xiǎn)證明作為保險(xiǎn)單據(jù)，其投保額可小于貴行根據(jù)或按此信用證所支付的余額。根據(jù)此信用證條款規(guī)定，貴行或貴行任何代理銀行均可接收、接受或支付由此信用證所規(guī)定的簽發(fā)或簽署匯票或其他文據(jù)的當(dāng)事人的財(cái)產(chǎn)管理人、執(zhí)行人、以及在破產(chǎn)時(shí)的受托人或任何財(cái)產(chǎn)接管人所簽發(fā)或簽署的一切匯票或其他單據(jù)，記名匯票或記名單據(jù)除外。
7． （a） If at our special request the Credit is issued in transferable form, it is understood and agreed that you are under no duty to determine the proper identity of any one appearing in the draft or documents as transferee, nor shall you be charged with responsibility of any nature or character for the validity or correctness of any transfer or successive transfers, and payment by you to any purported transferee or transferees as determined by you is hereby authorized and approved, and we further agree to hold you harmless and indemnified against any liability or claim in connection with or arising out of the foregoing．
如應(yīng)我方特別要求，此信用證以可轉(zhuǎn)讓形式開(kāi)立時(shí)，我們同意貴行不負(fù)擔(dān)鑒定任何匯票或文據(jù)受讓人身份的責(zé)任，貴行也不得負(fù)擔(dān)任何性質(zhì)的驗(yàn)證轉(zhuǎn)讓人或連續(xù)轉(zhuǎn)讓人的合法性或真實(shí)性的責(zé)任，在此特授權(quán)和準(zhǔn)許貴行支付由貴行認(rèn)定的任何受讓人或任何一些受讓人，此外，我們同意免去貴行由此而產(chǎn)生的或有關(guān)的任何債權(quán)或債務(wù)的責(zé)任。
（b） If it is a condition of this Credit that payment may be made upon receipt by you of a cable advising negotiation, we hereby agree to reimburse you on demand for the amount indicated in the said cable advice, and further agree to hold you harmless if the documents fail to arrive, or when, as and if documents arrive it should develop that the terms of the credit have not been complied with, and that the documents are not in order．
如信用證規(guī)定貴行收到預(yù)付電報(bào)通知后便可進(jìn)行支付，我們同意按上述電報(bào)通知所說(shuō)的數(shù)額即期向貴行進(jìn)行償付，此外，如單據(jù)不到，或收到單據(jù)，但發(fā)現(xiàn)其違背信用證條款或不正常，我們同意其概與貴行無(wú)關(guān)。
8． We agree that in the event of any extension of the maturity or time for presentation of drafts, acceptances, or documents, or any other modification of the terms of the Credit, at the request of any of us, with or without notification to the others, or in the event of any increase in the amount of the Credit at our request, this Agreement shall be binding upon us with regard to the Credit so increased or otherwise modified, to drafts, documents, and property covered thereby, and to any action taken by you or your correspondents in acceptance with such extension, increase, or other modification．
我們同意，凡應(yīng)我們之中任何人的請(qǐng)求，不論是否通知其他人，要就匯票、承兌匯票或單據(jù)的提示期限或時(shí)間進(jìn)行展期，或要對(duì)信用證的條款作其他任何修正，或應(yīng)我們要求，要增加此信用證的面額時(shí)，就信用證面額的增加或其他修正、就相關(guān)的匯票、單據(jù)及該信用證所涉及的財(cái)產(chǎn)、就貴行或貴代理銀行在接受此種展期、增額或其他變更時(shí)所采取的一切行為等事項(xiàng)，我們均按本協(xié)議的規(guī)定辦理。
9． The users of the Credit shall be deemed our agents and neither you nor your correspondents shall be responsible for:
此信用證受益人須認(rèn)定為是我方代理人，貴行和貴代理銀行均不得因下列情況負(fù)任何責(zé)任：
（a）the use which may be made of the Credit or, for any acts or omissions of the users of the Credit；
信用證的使用或信用證受益人的任何作為或不作為；
（b）the existence of the property purporting to be represented by documents；
存在旨在由單據(jù)提示的財(cái)產(chǎn)；
（c）any difference in character, quality, quantity, condition, or value of the property and that purporting to be represented by the documents；
單據(jù)所提示的財(cái)產(chǎn)或事物在性質(zhì)、質(zhì)量、數(shù)量、狀況、以及價(jià)值上的差異；
（d）the validity, sufficiency, or genuineness of documents, even such documents should in fact prove to be in any or all respects invalid, fraudulent, or forged；
單據(jù)的合法性、完善性或真實(shí)性，以及事實(shí)上證明這些單據(jù)在某方面或完全屬非法、欺詐或偽造；
（e）particular conditions stipulated in the documents or superimposed thereon
單據(jù)上規(guī)定的或特別附加的具體條件；
（f）the time, place, manner or order in which shipment is made;
裝運(yùn)的時(shí)間、地點(diǎn)、方式或秩序；
（g）partial or incomplete shipment, or failure or omission to ship any or all of the property referred to in the Credit；
分批或不完全裝船、或沒(méi)有或遺漏裝運(yùn)信用證規(guī)定的部分或所有財(cái)產(chǎn)；
（h）the character, adequacy, validity, or genuineness of any insurance, the
solvency or responsibility of any insurance，or any other risk connected with insurance；
保險(xiǎn)的性質(zhì)、恰當(dāng)性、合法性或真實(shí)性，保險(xiǎn)的償付能力或可靠性，以及與保險(xiǎn)有關(guān)的其他任何風(fēng)險(xiǎn)；
（i） any deviation from instructions，delay，default，or fraud by the shipper or any one else in connection with the property or the shipping thereof；
發(fā)貨人或其他任何與財(cái)產(chǎn)或財(cái)產(chǎn)裝運(yùn)有關(guān)的人違背指令、拖延、違約或欺詐；
（j） the solvency，responsibility，or relationship to the property of any party issuing any documents in connection with the property；
簽發(fā)有關(guān)貨物任何單據(jù)的任何當(dāng)事人的償付能力、可靠性以及與該財(cái)產(chǎn)的關(guān)系；
（k）delay in arrival or failure to arrive of either the property or any of the documents relating thereto；
財(cái)產(chǎn)或有關(guān)單據(jù)延期到達(dá)或沒(méi)有到達(dá)；
（l）delay in giving or failure to give notice of arrival or any other notice；
延期或沒(méi)有送達(dá)到貨通知單或其他任何通知單；
（m）any breach of contract between shippers or vendors and ourselves or any of us；
發(fā)貨人或買(mǎi)主與我們或我們中任何人違約；
（n） failure of any instrument to hear any reference or adequate reference to the Credit, or failure of documents to accompany any draft at negotiation, or failure of any person to note the amount of any draft on the reverse of the Credit or to surrender or take up the Credit or to send forward documents apart from drafts as required by the terms of the Credit, each of which provisions, if contained in the Credit itself, it is agreed may be waived by you;
沒(méi)有收到任何說(shuō)明或充分說(shuō)明此信用證的文書(shū)，或提交議付的匯票沒(méi)附單據(jù)，或沒(méi)人注意信用證背面所載明的匯款額，沒(méi)人出示或承兌信用證，沒(méi)人按照此信用證的條款規(guī)定提示除匯票之外的單據(jù)，如果信用證本身含有以上各規(guī)定，我們同意可由貴行予以免去；
（o） errors, omissions, interruptions, or delays in transmission, or delivery of any messages by mail, cable, telegraph, wireless or otherwise, whether or not they may be in cipher． You shall not be responsible for any act, error, neglect, or default, omission, insolvency or failure in the business of any of your correspondents or for any refused by you or any of your correspondents to pay or honor drafts drawn under the Credit because of any applicable law, decree or edict, legal or illegal, of any governmental agency now or hereafter in force or for any matter beyond your control． The happening of any one or more of the contingencies referred to in the preceding clause of this paragraph should not affect, impair, or prevent the vesting of any of your rights or powers hereunder, or our obligation to make reimbursement． In furtherance and extension and not in limitation of the specific provisions hereinabove set forth, we agree that any action taken by you or by． any correspondent of yours under or in connection with the Credit or the relative drafts, documents, or property, if taken in good faith, shall be binding on us and shall not put you or any of your correspondents under any resulting liability to us and we make like agreement as to any inaction or omission unless in breach of good faith．
傳遞中的錯(cuò)誤、遺漏、中斷、延誤，或通過(guò)郵寄、電報(bào)、電話(huà)、無(wú)線(xiàn)電或其他手段傳遞信息時(shí)是否用暗號(hào)及密碼。貴行不得因貴行任何代理銀行的行為、錯(cuò)誤、疏忽、或違約、不作為、無(wú)力償付以及業(yè)務(wù)倒閉而負(fù)責(zé)，也不得因貴行或貴行任何代理銀行由于任何準(zhǔn)據(jù)法、任何現(xiàn)行或今后的政府機(jī)構(gòu)的命令或法令（是否合法不論）的緣故而拒絕支付或承兌根據(jù)此信用證所簽發(fā)的匯票而負(fù)責(zé)，也不得因任何不可抗力事項(xiàng)而負(fù)責(zé)。本段上一句話(huà)中所提及的任何一項(xiàng)或多項(xiàng)意外事故的發(fā)生，均不得影響、損害、或阻止本協(xié)議對(duì)貴行任何權(quán)利或權(quán)力的授予，以及我方的償付責(zé)任。為促進(jìn)和拓展而不是限制以上制定的專(zhuān)門(mén)規(guī)定，我們同意，凡由貴行及任何貴代理銀行根據(jù)或依據(jù)此信用證、或相關(guān)匯票、單據(jù)、或財(cái)產(chǎn)而善意采取的一切行為，均對(duì)我們具有約束力，且不得使貴行或任何貴行代理銀行由此對(duì)我們負(fù)任何責(zé)任，對(duì)貴行和貴行代理銀行的任何不行動(dòng)或不作為，我們達(dá)成同樣協(xié)議，違背善意目的的除外。
10． It is a condition of this Credit that the accreditees are authorized to draw clean drafts, you are authorized to accept and pay drafts without requiring, and without responsibility for the delivery of shipping documents, either at the time of acceptance or of payment or thereafter．
此信用證規(guī)定，獲得信用證的人有權(quán)簽發(fā)清潔匯票，貴行有權(quán)不經(jīng)查詢(xún)貨運(yùn)單據(jù)便接受和支付匯票，不論是在接受或支付時(shí)，或者在爾后，且不得為此負(fù)責(zé)。
11． We agree to procure promptly any necessary import and export or other licenses for the import, export, or shipping of the property and to comply with all foreign and domestic governmental regulations in regard to the shipment of the property or the financing thereof, and to furnish such certificates in that respect as you may at any time require, and to keep the property adequately covered by insurance acceptable to you, and to assign the policies or certificates of insurance to you, or to make the loss or adjustment if any, payable to you, at your option, and to furnish you, if demanded, with evidence of acceptance by the insurers of such assignment．
我們同意盡快努力為財(cái)產(chǎn)的進(jìn)出口及裝運(yùn)取得進(jìn)出口或其他許可證，遵守國(guó)內(nèi)外有關(guān)財(cái)產(chǎn)裝運(yùn)或資金提供的一切政府規(guī)定，隨時(shí)按貴行要求提供有關(guān)證明，按貴行可接受的條件給財(cái)產(chǎn)恰當(dāng)保險(xiǎn)，并將保險(xiǎn)單據(jù)或證明轉(zhuǎn)交貴行，保險(xiǎn)公司如有賠償或理算，可應(yīng)貴行選擇向貴行支付，如貴行要求，向貴行提供保險(xiǎn)商對(duì)此種轉(zhuǎn)讓的承兌證明。
12． In the event you deliver to us, or to any of us, or to a Custom House Broker at our request any of the documents of title pledged hereunder prior to having received payment in full of all of our liabilities to you, we agree to obtain possession of any goods represented by documents within twenty-one days from the date of such delivery of said documents and if we should fail to do so, we agree to return said documents or to have them returned by the Custom House Broker to you prior to the expiration of the said twenty-one day period． We agree to execute and deliver to you receipts for such documents and the goods represented thereby identifying and describing such documents and goods, which said receipts shall constitute a part of this Agreement．
如應(yīng)我方要求，貴行在我們償付全部債務(wù)之前，將本協(xié)議規(guī)定的抵押物權(quán)憑證交給我們，或我們中任何人，或一報(bào)關(guān)代理人，我們同意在提交之日后的21天之內(nèi)獲得憑證所提示的一切貨物，如我們不能實(shí)現(xiàn)，我們同意在規(guī)定的21天期滿(mǎn)之前將有關(guān)憑證交還或叫報(bào)關(guān)代理人交還給貴行。我們同意簽署和提交給貴行有關(guān)此種憑證及其提示的貨物的收據(jù)，由此鑒別和說(shuō)明此種憑證和貨物，此種收據(jù)為本協(xié)議的構(gòu)成部分。
13． Each of us agrees at any time and from time to time, on demand, to deliver, convey, transfer, or assign to you, as security for any and all of his and/or our obligations and liabilities, contingent or absolute, due or to become due, which are now or may at any time thereafter be owing by him or us to you, additional security of a character and value satisfactory to you, or to make such payment as you may require． Each of us agree that all property belonging to him, or us, in which he or we may have an interest, of every name and nature whatsoever, now or at any time hereafter delivered, conveyed, transferred, assigned, or paid to you, or coming into your possession in any manner whatsoever, whether expressly as security for any of the obligations or liabilities of him or us to you, or for safekeeping or otherwise, including any items received for collection or transmission and the proceeds thereof, whether or not such property is in whole or part released to us on security agreement, is hereby made security for each and all such obligations and liabilities．
我們每人都同意在任何時(shí)間，隨時(shí)即期對(duì)貴行提供、交付、轉(zhuǎn)讓、或讓與附加擔(dān)保，其性質(zhì)和價(jià)值須使貴行滿(mǎn)意，以作為他和（或）我們的責(zé)任及債務(wù)擔(dān)保，不論這些責(zé)任及債務(wù)是有條件或無(wú)條件，到期或要到期，是,現(xiàn)在或?qū)?lái)任何時(shí)間由他或我們所欠貴行的，或應(yīng)貴行要求償付此種債務(wù)。我們每人都同意，凡屬于他或我們的一切財(cái)產(chǎn)，與他或我們有一定利益的，不論名目或性質(zhì)，在現(xiàn)在或今后任何時(shí)間提交、交付、轉(zhuǎn)讓、讓與或支付給貴行的，或不論以何種方式為貴行所擁有的，不論是否明文規(guī)定作為他或我們對(duì)貴行的責(zé)任或債務(wù)的擔(dān)保、或作為安全保管或其他的，包括作為托收或轉(zhuǎn)遞的一切商品及其收益，也不論此種財(cái)產(chǎn)是否是按擔(dān)保協(xié)議全部或部分轉(zhuǎn)讓給我們的，根據(jù)本協(xié)議，均應(yīng)作為某一或所有此種責(zé)任和債務(wù)的擔(dān)保。
14． Each of us agree that upon his or our failure at any time to keep a margin of security with you satisfactory to you, or upon the making by him or us of any assignment for the benefit of creditors, or upon the filing of any voluntary or involuntary petition in bankruptcy by or against him or us, or upon the application for the appointment of a receiver of any of his or our property, or upon any act of insolvency of him or us, all of such obligations and liabilities shall become and be immediately due and payable without demand or notice, notwithstanding any credit or time allowed to him or us, or any instrument evidencing any such obligations or liabilities or otherwise． Each of us, as to property in which he may have any interest, and all of us, as to property in which we may have any interest expressly authorize you in any such event, or upon his failure to pay any of such obligations or liabilities when it or they shall become or be made due, to sell immediately, without demand for payment, without advertisement and without notice to us or any of us, all of which are hereby expressly waived, any and all such property, arrived or to arrive, at private sale or at public auction or at broker's board or otherwise, at your option, in such parcel or parcels and at such time or times and at such place or places and for such price or prices and upon such terms and conditions as you may deem proper, and to apply the net proceeds of such sale or sales, together with any balance of deposits and any sums credited by or due from you to him or us in general account or otherwise, to the payment of any and all of such obligations or liabilities to you however arising． If any such sale be at broker's board or at public auction, you may yourself be a purchaser at such sale, free from any right of redemption which we hereby expressly waive and release．

15． The rights and liens which you possess hereunder shall continue unimpaired and we and each of us shall remain obligated in accordance with the terms and provisions hereof, notwithstanding the release or substitution of any property which may be held as security hereunder at any time, or of any right or interest therein． No delay, extension of time, renewal, compromise, or other indulgence which may occur, shall impair your rights or powers hereunder． You shall not be deemed to have waived any of your rights hereunder unless you or your authorized agent shall have signed such waiver in writing． No such waiver, unless expressly as stated herein, shall be effective as to any transaction which occurs subsequent to the date of such waiver, nor as to any continuance of a breach after such waiver．
貴行根據(jù)本協(xié)議所擁有的權(quán)利和扣押權(quán)應(yīng)保持不受損害，我們和我們每人必須遵守本協(xié)議的條款規(guī)定，即使按協(xié)議規(guī)定在任何時(shí)間被當(dāng)做擔(dān)保的財(cái)產(chǎn)被轉(zhuǎn)讓或替代，或協(xié)議所規(guī)定的任何權(quán)益被轉(zhuǎn)讓或替代。任何可能發(fā)生的拖延、展期、更換、妥協(xié)、及其他延期，均不得削弱貴行的權(quán)利或權(quán)力。如無(wú)貴行或貴行授權(quán)代理人簽署的棄權(quán)聲明書(shū)，不得認(rèn)定貴行放棄此協(xié)議所規(guī)定的任何權(quán)利。任何棄權(quán)聲明書(shū)，如未按本協(xié)議的明文規(guī)定制作，對(duì)聲明之日以后所發(fā)生的一切交易以及對(duì)聲明之后的任何繼續(xù)違約行為均不產(chǎn)生效力。
16． Except as otherwise expressly provided in this Application and Agreement or as you and we may otherwise expressly agree with regard to, and prior to your insurance of the Credit, the" Uniform Customs and Practice for Documentary Credits, International Chamber of Commerce Brochure No． 222" shall be binding on the Credit and shall serve, in the absence of proof expressly to the contrary, as evidence of general banking usage．
如本申請(qǐng)書(shū)和協(xié)議沒(méi)有明文另行規(guī)定，或貴行與我們沒(méi)在信用證開(kāi)立之前就此信用證另有明文協(xié)議，《商業(yè)跟單信用證統(tǒng)一慣例》（國(guó)際商會(huì)第222號(hào)出版物）應(yīng)對(duì)此信用證具有拘束力，且在無(wú)明顯相反例證時(shí)，作為通用的銀行慣例例證適用。
17． The word "property" as used herein including goods and merchandise, as well as any and all documents relative thereto, also, securities, funds, choses in action, and any and all other forms of property, whether real, personal or mixed and any right or interest therein．
本協(xié)議中的“財(cái)產(chǎn)”一詞，包括貨物和商品，以及有關(guān)的任何及一切單據(jù)，還包括證券、存款、權(quán)利上的財(cái)產(chǎn)、以及任何及所有其他形式的財(cái)產(chǎn)，不論是不動(dòng)產(chǎn)、動(dòng)產(chǎn)或混合性財(cái)產(chǎn)及相關(guān)的任何權(quán)益。
18． The Agreement shall be binding upon us, our heirs, executors, administrators, successors, and assigns and shall inure to the benefit of, and be enforceable by you, your successors, transferees, and assigns． If this Agreement shall be terminated or revoked as to us by operation of law, we will indemnify and save you harmless from any loss which may be incurred by you in acting hereunder prior to the receipt by you or your successors, transferees, or assigns of notice in writing of such termination or revocation． If this Agreement is signed by one individual, the terms "we", "our", "us", shall be read throughout as "I", "my", "me", as the case may be． If this Agreement is signed by two or more parties, it shall be the joint and several agreement of such parties; and in any such case, this Agreement shall not be revoked or impaired as to any one or more of such parties by the death of any of the others or by the revocation or release of any obligations hereunder of any one or more of such parties．
本協(xié)議對(duì)我們、我們的繼承人、遺囑執(zhí)行人、遺產(chǎn)管理人、繼任人和受讓人均具有拘束力，由貴行執(zhí)行，可適用于貴行的繼任人、承買(mǎi)人、以及受讓人。如我們按照法律終止或取消本協(xié)議，貴行應(yīng)免予在收到書(shū)面終止或取消通知前，由貴行、貴行繼任人、承買(mǎi)人、或受讓人按本協(xié)議作為而造成的任何損失的責(zé)任。如本協(xié)議為個(gè)人所簽署，術(shù)語(yǔ)“我們”、“我們的”得按具體情況讀作“我”、“我的”。如果本協(xié)議由兩個(gè)或更多的當(dāng)事人簽署，其應(yīng)為這些當(dāng)事人共同以及可分別履行的協(xié)議；出現(xiàn)任何此種情況，本協(xié)議不得被一個(gè)或一些當(dāng)事人以其他任何當(dāng)事人的死亡，或其他任何一個(gè)或一些當(dāng)事人的合同義務(wù)的撤銷(xiāo)或免除為由而取消或毀損。
19． This Agreement and all rights, obligations, and liabilities arising hereunder shall be construed in accordance with the laws of the State of California．
本協(xié)議及由此而產(chǎn)生的一切權(quán)利、義務(wù)和責(zé)任必須根據(jù)加利福尼亞州的法規(guī)予以解釋。
