咨詢服務(wù)主要指可行性研究、監(jiān)理、工程設(shè)計、建筑施工、財務(wù)及管理等方面的服務(wù)。由于多數(shù)國際金融機構(gòu)的借款者都是發(fā)展中國家，缺乏技術(shù)、經(jīng)營管理方面的經(jīng)驗，所以，需要聘請國際咨詢公司提供咨詢服務(wù)。因此借款者經(jīng)常采用有限國際投標(biāo)方式選擇咨詢公司，以便對項目實施進行監(jiān)督管理。世界銀行、亞洲開發(fā)銀行等國際金融機構(gòu)有時也直接聘用咨詢者，用于提供其資助的技術(shù)援助項目的咨詢服務(wù)。注意，借款者所擬定的任務(wù)大綱，咨詢公司的短名單及邀請書的內(nèi)容、形式等都必須征得貸款方、國際金融機構(gòu)的同意。

本合同由委托咨詢者（委托咨詢方名稱，以下簡稱為委托方）為一方，××國際咨詢公司（以下簡稱咨詢者）為另一方，于20_____年____月____日在中國××簽訂。

Whereas the client intends to acquire the consulting services from the consultants to complete______________________（name of the project） and the consultants, having represented to the client that they have the required professional skills, personal and technical resources, agree to provide the services. Now therefore the two parties enter into this contract under the terms and conditions as follows:

鑒于委托方意圖從咨詢者處得到完成××項目的咨詢服務(wù)，且咨詢者已向雇主表明其擁有進行這項服務(wù)所要求的專業(yè)技術(shù)、人員和技術(shù)資源，并同意提供服務(wù)，雙方特同意按以下條款簽訂本合同：

1．Definitions

釋義

Unless otherwise stated in the contract, the following terms whenever used in this contract have the following meanings:

除非合同中另有說明，本合同的下列術(shù)語具有以下含義：

a）“Client”refers to_______（name of the client）．

“委托方”指×××（委托方名稱）；

b） “Consultant” refers to____________（name of the consultants）.

“咨詢者”指×××（咨詢者名稱）；

c） “Applicable law” refers to the laws and other instruments having the force of law in the People's Republic of China.

“適用法律”指在中華人民共和國內(nèi)具有法律效力的法規(guī)和其他文件；

d） “Contract” refers to this contract between the client and the consultants.

“合同”指委托方和咨詢者之間簽訂的本合同；

e） Foreign Currency refers to any currency other than the Renminbi （hereinafter called RMB）.

“外幣”指任何非人民幣（以下簡稱RMB）的貨幣；

f） “Services” refers to the work to be performed by the consultants pursuant to the stipulations of this contract.

“服務(wù)”指咨詢者根據(jù)本合同條款為完成本項目而進行的工作；

g） “Subcontract” refers to any entity to which the consultants subcontract any part of the services in accordance with the contract stipulations.

“分包咨詢者”指按合同條款規(guī)定分包部分服務(wù)的實體。

2. Applicable law and language

合同的適用法律及使用語言

This contract, its meaning, interpretation and the relations between the parties shall be governed by the laws of the People's Republic of China.

本合同及其條款的含義和解釋以及合同雙方的關(guān)系受中華人民共和國法律的制約。

This contract is written both in Chinese and English. For purposes of meaning or interpretation of the contract, the English language shall govern.

本合同以中英文兩種文字書寫，但有關(guān)本合同的含義及解釋以英語合同為準(zhǔn)。

3．Location

4．Notices

通知

Any notice shall be in writing in English. Notices to eitherparty shall be given at such address or address as such party shall specify from time to time by written notice to the other. In the absence of such notice to the contrary, notice to either party shall be properly addressed to:

任何通知都應(yīng)以英語書寫。一方給另一方的通知應(yīng)按對方隨時用書面提供的地址寄出。如果沒有收到另一方的地址改變通知，則按以下地址寄出：

Any notice shall be deemed to have been given or made when delivered in person or when sent to such party at the above address by mail, telex, cable or facsimile.

任何由專人送去或已按以上地址郵寄、電傳、傳真、電報的通知都視為寄到。

5．Taxes and duties

稅收

The consultants and its personnel shall be entirely responsible for all the corporate and personal income taxes and other impositions related thereto levied under the applicable laws of the People's Republic of China.

咨詢者及其人員應(yīng)自己交納公司及個人所得稅，交納中華人民共和國適用法律下所征收的其他有關(guān)賦稅。

6. Commencement, Completion, Modification and Termination of the Contract

合同的開始、完成、修改及終止

a. This contract shall come into force and effect 30 days after the signing of this contract. If this contract has not become effective within 60 days, either party may declare this contract to be null and void. In the event of such a declaration, neither party shall have any claim against the other party with respect hereto.

本合同在簽署后30天生效。如果本合同在簽署后60天內(nèi)不能生效，簽約方的任意一方都有權(quán)宣布合同完全無效。如果出現(xiàn)這種情況，任何一方都無權(quán)向?qū)Ψ骄痛颂岢鏊髻r。

b. The consultants shall start carrying out the services two weeks after the effective date of the contract and shall complete their services within years. And this contract shall terminate when the services have been completed and the last payment of the contract has been made, unless extended on the same conditions and terms agreed upon by the two parties hereto. Upon the termination of this contract, or upon expiration of this contract, all rights and obligations shall cease, but the termination of the contract shall not effect in any way the outstanding claims and liabilities existing between the two parties.

咨詢者應(yīng)在本合同生效日兩周后開始實施咨詢服務(wù)，并在××年內(nèi)完成所有的咨詢服務(wù)。除非雙方協(xié)定在上述同樣條件下延長服務(wù)，本合同應(yīng)在完成服務(wù)并支付了最后一筆服務(wù)后終止。在合同終止或期滿時，雙方所有的權(quán)利和義務(wù)均終止，但是合同的終止不能絲毫解除雙方之間未了決的權(quán)利和義務(wù)。

c. The contract shall be valid for_______years from the date of signature and shall automatically cease to bein force upon the expiry of the validity of the contract.

本合同的有效期為××年，從合同簽署之日算起，在合同期滿時自動失效。

d. No variation in or modification of the conditions and terms of the contract shall be made except by written amendment signed by the parties.

除非雙方簽署有書面修正意見，否則，不能對合同進行任何變動或修改。

7．Obligations of the Consultants

咨詢者的義務(wù)

a） The consultants shall perform the services and carry out their obligations hereunder with all due diligence, efficiency and economy, in accordance with generally accepted techniques, practices and consulting standards recognized by international professional bodies of consultation. The consultants shall at all times support and safeguard the client's legitimate interests in any dealings with Sub-consultants or Third Party.

咨詢者應(yīng)盡一切努力，高效和經(jīng)濟地按國際專職咨詢機構(gòu)承認(rèn)的技術(shù)和慣例，以及咨詢標(biāo)準(zhǔn)履行咨詢服務(wù)和義務(wù)。咨詢者在與分包咨詢者及第三方的交往中應(yīng)始終維護和支持委托方的合法利益。

b） The consultants shall perform the services in accordance with the applicable laws of the People's Republic of China and respect relevant local customs.

咨詢者履行咨詢服務(wù)時要遵守中華人民共和國的適用法律并尊重當(dāng)?shù)氐挠嘘P(guān)風(fēng)俗。

c） The consultants shall not accept for their own benefit any trade commission, discount or any similar payment in connection with activities pursuant to this contract or to the services.

咨詢者在履行與本合同或服務(wù)有關(guān)的服務(wù)中不應(yīng)為私利而接受貿(mào)易傭金、回扣或類似的款項。

d） The consultants shall submit to the “client” a progress report at the end of each month.

咨詢者在每月月底將向“委托方”提交一份服務(wù)進度報告。

e） All work finished according to the contract must pass the examination and acceptance of the “client”, or representative entrusted by the “client”. The consultants shall undertake the responsibility concerning the amount, correctness and completeness of the work finished.

所有按合同要求完成的咨詢服務(wù)工作都應(yīng)由“委托方”檢查，并得到他的認(rèn)可。咨詢者要對咨詢服務(wù)的工作量、正確和完整性負(fù)責(zé)。

f） Without the authorization of the client, the consultants shall, under no circumstances, transfer liabilities they should bear.

沒有委托方的授權(quán)，咨詢者在任何情況下都不能轉(zhuǎn)移自己的債務(wù)。

8．Consultant Personnel

參加咨詢的人員

The consultants shall employ and provide such qualified and experienced personnel as are required to carry out the services.

咨詢者應(yīng)雇用并提供資深的、經(jīng)驗豐富的符合進行此項咨詢服務(wù)的人員。

a） The personnel and sub-consultants to be involved in the work of this contract must be approved by the client. The consultants shall submit to the client a copy of their biographical data and a copy of a satisfactory health certificate for review and approval.

履行本合同咨詢服務(wù)的人員、分包咨詢者都必須得到委托方的批準(zhǔn)。咨詢者應(yīng)向委托方提供一份他們的簡歷和合格的健康證明供審查和批準(zhǔn)。

b） Except as the client may otherwise agree, no changes shall be made in the personnel. If it is necessary to replace any of the personnel, the consultants shall provide as a replacement a person with qualifications and experience acceptable to the client. The consultants shall bear all additional travel and other costs arising out of any replacement.

未經(jīng)雇主另外同意，不得對咨詢服務(wù)人員作任何變動。如有必要替換咨詢?nèi)藛T，其資格和經(jīng)驗都應(yīng)必須被委托方接受。咨詢者應(yīng)承擔(dān)因撤換人員所發(fā)生的額外的一切旅費和其他費用。

9．Obligations of the client

委托方的責(zé)任和義務(wù)

a） The client shall make its best efforts to ensure that the government of the People's Republic of China shall provide the consultants, sub-consultants with work permit and such other documents as shall be necessary to enable them to perform the services in___________,  China; arrange for the personnel to be provided promptly with all necessary entry and exit visas, residence permits, exchange permits and any other documents required for their stay in China, and grant to the consultants and sub-consultants the privilege of bringing into China reasonable amounts of foreign currency for the purpose of service and of withdrawing any such amount as may be earned therein by the personnel in the execution of the contract according to the applicable laws.

委托方應(yīng)盡力保證中華人民共和國政府為咨詢者、分包咨詢者頒發(fā)在中國××進行咨詢服務(wù)所必需的工作許可證和其他有關(guān)證件，及時做好安排使咨詢者的人員得到必需的進出口簽證、居住許可證、外幣兌換和其他在中國停留所需要的文件。委托方還應(yīng)確保咨詢者與分包咨詢者由于咨詢工作的需要而攜帶合理數(shù)量的外匯進入中國的權(quán)利，以及確保將他們依法履行合同所得收入提走的權(quán)利。

b） In consideration of the services performed by the consultants under this contract, the client shall make to the consultants such payment and in such manner as specified in clause__________of the contract.

對于本合同項下咨詢者所履行的服務(wù)，委托方將按本合同第_____條中所提供的方法向咨詢者支付。

c） The Client shall keep the consultants, both during and after the term of the contract, fully and effectively indemnified against all losses,  damage, injures, deaths suffered by the consultants or any third party where such loss, damage, injures or death is the result of a wrongful action, negligence or breach of contract of the client or its employees or agents.

委托方應(yīng)充分保證咨詢者在合同期內(nèi)或合同期后都不承擔(dān)委托方或其雇員或代理人因錯誤行為、過失或違約而給咨詢者和任何第三方造成的損失、損害或傷亡的責(zé)任。

10. Payment to the Consultants

對咨詢者的支付

a） All the payments to be made by the client in connection with the contract shall be effected in U.S. Dollars by__________________through the Bank of ____________________China and________________（Name of the consultants' bank）. All the banking charges incurred outside China shall be borne by the consultants.

本合同所涉及的一切費用，采用××方式，通過中國________銀行和咨詢方的××銀行，用美元支付。所有在中國國外發(fā)生的銀行費用由咨詢者承擔(dān)。

b） Except as maybe otherwise agreed, the client shall not pay any other expenditures, or the consultants shall not ask for any adjustment of total remuneration.

委托方不應(yīng)支付任何其他開支，咨詢方也不應(yīng)要求改變總報酬，除非雙方另有商定。

c） The total payments in respect of the services shall be paid by the client to the consultants in the following manner and proportions:

委托方將按以下的方式和比例付給咨詢者所有的咨詢費用：

1） Within________days after the effective date of the contract and the arrival of the consultants at the service location, the first payment, ______percent（％） of the total service remuneration shall be made by the client to the consultants.

在合同實施及咨詢?nèi)藛T到達咨詢服務(wù)地后_________天內(nèi)，委托方應(yīng)將第一次付款總咨詢費的_______（％）付給咨詢方。

2） The second payment__________percent （％）  of the total service remuneration shall be made by the client to the consultants within_____days after the consultants have prepared and delivered service reports and other documents concerned which meet the requirements as specified in Appendix I to the contract and are examined and accepted by the client.

第二次付款額應(yīng)為總咨費的___________（％），委托方應(yīng)在咨詢方已經(jīng)準(zhǔn)備好，并遞交了咨詢報告及其他相關(guān)文件，而這些報告和文件符合合同附件上的要求并被委托方驗收后付給咨詢方。

3） The final payment________percent（％） of the total remuneration shall be made only after the final report and final statement shall have been submitted by the consultants and approved as satisfactory by the client.

最后一次付款額應(yīng)為總咨詢費的__________（％），委托方應(yīng)在咨詢方遞交了咨詢總結(jié)報告和說明并被其認(rèn)為令人滿意后付給咨詢方。

4） All payments under this contract shall be made to the credit of the account of the consultants with_______________（Name of the bank）.

所有這些合同下的支付都應(yīng)付給咨詢方在××銀行的賬戶上。

11．Fairness and good faith

公正和信用

The parties undertake to act in good faith with respect to each other's rights under this contract and to adapt all reasonable measures to ensure the realization of the objectives of this contract. They hereby agree that it is their intention that this contract shall operate fairly between them and without detriment to the interest of either of them.

雙方將公平地對待相互所享有的合同賦予的權(quán)利，并采取一切合理的措施保證本合同的實施。故雙方一致表示，希望本合同在相互間公正實施、不損害任何一方的利益。

12．Settlement of Disputes

爭議的解決

a） The parties shall make their best efforts to settle amicably all disputes arising out of or in connection with this contract.

雙方當(dāng)事人應(yīng)全力友好地解決因本合同而產(chǎn)生的或與本合同有關(guān)的一切爭議。

b） Any dispute between the parties, arising out of or in connection with this contract which can not be settled amicably, may be submitted by either party to China International Economic and Trade Arbitration Commission for arbitration. The arbitration decision reached by the arbitrators shall be accepted by both parties as final and binding. The cost of arbitration shall be borne by the losing party.

雙方之間如不能友好解決因本合同而產(chǎn)生的或與本合同有關(guān)的爭議，任何一方均可向中國國際經(jīng)濟貿(mào)易仲裁委員會提請仲裁。仲裁員所作的仲裁裁決應(yīng)為雙方當(dāng)事人作為終局裁決接受，對雙方均具有約束力。仲裁費用應(yīng)由敗訴方承擔(dān)。

In witness whereof, the Parties hereto have caused this contract to be signed in their respective names as of the day and year first above written.

雙方當(dāng)事人在上述日期簽署本合同，特此為證。
