涉外商務(wù)合同按繁簡不同，盡管可以采取不同書面形式，如正式合同（Contract）、協(xié)議書/合約（Agreement）、確認(rèn)書（Confirmation）、備忘錄（Memorandum）、訂單（Order）等等，但是一般都包含如下幾個(gè)部分：
一、合同名稱（Title）
二、前文/導(dǎo)言（Preamble）
訂約日期和地點(diǎn)（Date and place of signing ）
合同當(dāng)事人及其國籍、主營業(yè)所或住所（Signing parties and their nationalities, principal place of business or residence addresses）
當(dāng)事人合法依據(jù)［Each partys authority，比如，該公司是“按當(dāng)?shù)胤烧浇M織而存在的”（a corporation duly organized and existing under the laws of XXX） ］或比如，該公司是“根據(jù)英屬維爾京群島的法律所組建的公司”，其通訊地址為…（a company incorporated under the laws of British Virgin Islands，and having its correspondence address at…）
訂約緣由/說明條款（Recitals or WHEREAS clause）

Provisions of the agreement 合約的條款
Any failure by either party to enforce at any time any of the provisions of this agreement and/or any individual contract Shall not be construed to be a waiver of such provisions or of the right of such party to enforce such provisions at a later time。
如任何一方在任何時(shí)間內(nèi)未能實(shí)施本合約及/或單獨(dú)合同的條款，將不可理解為對(duì)該條款的放棄，或放棄了在將來實(shí)施該條款的權(quán)利。

2.You hereby agree to indemnify, hold harmless and defend the BBC in respect of all damages, costs and expenses, including reasonable legal fees and litigation expenses, arising out of or as a result of any breach of the Standard Licence Terms or otherwise in connection with your use of the BBC Feed (including the BBC Content).
您同意，在出現(xiàn)因違反標(biāo)準(zhǔn)使用批準(zhǔn)條款或在其它場合您使用BBC材料提供服務(wù)（包括BBC內(nèi)容）而導(dǎo)致?lián)p失、賠償或開支（包括合理的法律費(fèi)用和訴訟開支）時(shí)，您會(huì)維護(hù)BBC，并且會(huì)向BBC作出賠償，并認(rèn)為BBC無須為問題負(fù)責(zé)。
